Section A

Competitor analysis involves the examination of competitors in order that the planner can develop and sustain superior competitive performance for the organisation. This statement belies the fact that in order to do this one must first establish from where the competition currently stems and from where it might stem in the future. One also has to consider and appraise competitors’ present and likely future objectives and strategies, and their likely reactions to the competitive moves that an organisation might make.

Section D

In most organisations, conflict between groups is quite common. Organisations usually develop differences between functional groups, such as sales and manufacturing, as a means of responding to diversity and uncertainty in their particular environment. Manufacturing must organise for stability and efficiency while sales must organise to relate to and service customers. To accomplish these diverse tasks, sales must hire different people from manufacturing, and each must manage its people in accordance with their unique expectations and the functions’ task requirements. If such differences did not exist, neither group could get its job done effectively.

Even the ‘simplest’ of purchasing decisions is an amalgam of behavioural forces and factors of which even the purchaser may not be aware. However, even though consumer behaviour is a complex subject marketing planners should at least have some understanding of it. Marketers are specifically interested in the behaviour associated with groups or segments of consumers as it would be impossible to serve the exact needs and wants of specific individuals

in a market and remain profitable.

Whereas selling focuses on the needs of the seller, marketing focuses on the needs of the buyer. Whereas selling is preoccupied with the seller’s need to convert his or her product into cash, marketing is preoccupied with the idea of identifying and hence satisfying the needs of the customer. However, subscribing to a philosophy of marketing, even though an important first step, is not the same as putting that philosophy into practice.

The corporate mission statement needs detailed consideration by top management to establish the business the company is really in and to relate this consideration to future business intentions. By formulating a clear business statement, boundaries for the ‘corporate entity’ can be conceived in the context of wider environmental trends that influence the business. This stage is often overlooked in marketing planning, and yet without it the marketing plan will lack a sense of contribution to the development of the total business.

Section J

A partnership is presumed to exist when two or more people get together in business with the objective of making a profit. The law limits the total number of people who may get together to form a partnership. The partnership will be managed by general agreement among the partners, but if there is no apparent agreement either formal or informal, then it is presumed that the partnership will operate in accordance with the Partnership Act, 1890. This Act lays down arrangements for dealing with such matters as the amount of capital to be contributed, the management of the business, and the division of the profits or losses among the partners.

Section K

The amount of accounting information that could be supplied to any interested party is practically unlimited. The information needs to be designed in such a way that it meets the objectives of the specific user group. In this context, accountants try to present accounts in such a way that they represent ‘a true and fair view’. kpmg精英计划+校招全流程 这里分别是我和我男朋友的精英计划面经和我自己的校招面经,希望能帮到大家!先是男票的 Jerame KP之旅 【引】 与其说是“受人之托”(其实是我自己想写)去写我在KPMG的所见所感,不如说是自己怀念吧,怀念过去的那一年多来,我和它之间的故事。而因为最后一些别的原因遗憾地告别K记,这种怀念又似乎会带给我那么一丝伤感和抱歉。 在正式开始前,需要说明两点:其一,我所叙述的经历只限于自己亲身体会到的,之后的年份如果有变化,恕我无法跟进(2014-2015) 我和KPMG接触的平台是它的Elite Programme,一般我们又会称它“精英计划”。简单地说来,它是一个实习+培训+面试的综合体。如果全程参加完,时间跨度在两年左右。一般,精英计划会在每年的三月左右做网申,对于申请者的年级要求是大二下或者研一下。所以我想可能很多看到这篇文章的人已经错过了这个媒介;但是这个计划的流程和内容,与K记的校招,以及实习计划确有很多相似之处。 【网申】 首先是网申。在三月左右的网申季(类比九月校招网申季和十月寒假实习网申季),稍加留意会有很多的渠道获知这一计划的信息:比如应届生网、微信、学校的就业网,或者校园内张贴的海报等等。我记得自己当时是从Taffy那边获取到了这个信息,她鼓励我要去试一试。我去听了宣讲会,人山人海,不过感觉意义不是特别大——后来我发现,其实大部分不带笔面试的宣讲会确无参加的必要。而网申的5个Open Question也是让我绞尽脑汁,所以一直拖拖沓沓,直到Deadline的前一天才勉强填完提交。 说一些网申要注意的点吧。K记的网申,精英计划、实习、校招的界面好像是一样的,但是每次申请一个新的计划(譬如之前申请过寒假实习,现在要申校招),就要重新用不同的一个邮箱注册账号;而之前填的申请表格是一直保留在服务器上的,所以直到现在我还能看到去年4月我填的东西。还有就是K记的一些邮件可能会进垃圾邮件箱或者广告邮件(当然四大的邮件普遍存在这个问题),有的邮箱反垃圾设置有问题,垃圾邮件1天就删掉了,这样会很耽误事,需要引起注意。最后就是OQ,目前为止K记似乎没换过题目,而这5个当时让我堆砌了很多语句的OQ是:介绍业余生活、介绍参加的社团组织、影响职业选择的因

文章一: 由于我是KPMG的员工,我的回答至少在形式上就缺乏独立性。我将尽量客观公正地回答这一问题。但这仅是我的个人观点,不代表KPMG或任何人。我也许会对PWC、EY以及KPMG 的一些事情提出批评,也请任何人把这些批评看作是就事论事的讨论,不要将我牵涉进任何争论或诉讼中。 首先,最重要的一点,我不认为有足够的理由选择四大中的一家而舍另一家。四大各有优缺点,依每个人的想法不同,选择任何一家都是可能的。 PWC在全球是最大的,KPMG是四大中唯一一家在欧洲的业务超过在美国的业务的事务所。其实这些都没有太大意义,因为这与它们在中国的业务无关。以前,我见到不少毕业生选择AA,因为AA曾是全球最大的,但他们不知道AA在中国的管理层曾有过大的动荡,这不可避免地会影响AA在中国的业务,以及一个普通员工在AA中国的工作环境。所以,在四大全球谁最大的问题上,除了能满足一下虚荣心外,没有别的用处。 一个毕业生应该重视的,一是宏观方面:四大在中国的业务前景;二是微观方面:具体的那一家四大的办公室的工作环境和其中的人。然后在这对两方面进行了解后,思考一下你进去后能做什么。毕竟,你进四大的目的是学东西和积累工作经验。下面我将就这两方面做一下比较。 四大在中国的业务。KPMG和PWC差不多,EY弱一些。在大的外商投资企业方面,大家都是四大,各有千秋。在中国国内企业方面,KPMG在大客户上领先,PWC在中小客户方面占优势。EY在这一点上目前没有什么优势。但它正在兼并国内所,可能会很快在这方面变强。 四大的办公环境和人员,我个人认为PWC在这点上目前最弱。PWC太大了,它把AA 在中国的人员吸收了过去,但AA的很多全球客户却跑到其他四大那里了。所以PWC的审计人员现在也许是四大中最闲的。同时,PWC还要整合它的员工与AA的员工。从公司文化、审计具体方法(原则上不会有大的出入,但具体操作会不同)、技术系统、工资体系、培训等各方面整合,这一过程一般至少要三年时间。我在KPMG就见到不少前AA的员工以及一些PWC的员工要跳槽到KPMG来,原因是PWC内部现在比较乱。 EY在中国的业务发展模式与KPMG和PWC不同,它在积极兼并国内所。所以,我在香港的朋友告诉我,EY香港有很多员工被要求到大陆工作,因为EY需要人员来监控和整合这些国内所。所以,对于EY而言,这也是一个动荡的时候。这也反过去证明EY在以前在开拓国内市场上做得不好。 KPMG,在我看来,有这样几个优点。一是由于在中国业务规模足够大(与PWC相当)而人员又明显少于PWC,因此大家都会有事做;二是KPMG的员工本地化程度最高,比PWC 高一些,比EY和DT高许多。在KPMG,审计经理几乎都是本地的,高级经理也有约一半是本地的。没有在四大工作过也许很难体会这一重大差别。如果你做的这个客户的审计经理是外籍(包括香港人),他在审阅你的工作底稿时可能问你一些在你看来是中国常识的问题,你不得不花时间回答那些问题。很难说是你在向他学习审计,还是他在向你学习中国常识。请认清这一点:即使在很多香港人看来,到大陆工作,就算是上海和北京,也是由现代社会到第三世界。外籍(包括香港人)中的很多精英之才(不是全部的精英)是不会来的,就象我很难想象我会去KPMG越南工作一样。 另外,PWC和DT是要求新进员工即按行业划分的。KPMG是要求至少在前三年让新进员工不做行业划分。我想这是对新员工有好处的。 综上述,也许目前选择KPMG有更多的理由。但PWC一旦度过了这几年的整合期,就可能又开始高速增长,而EY的兼并国内所,也是挺具挑战性的一个事业。 说了这么多,但有一点是任何人无法预料的:你去的那一家办公室的某一位经理或合

毕马威招聘流程 一、网申 毕马威的网申是校园招聘的第一个环节,它是决定你是否能够参加笔试的唯一依据。但网申的筛选率四大各不相同,就毕马威而言,它喜欢让更多人通过网申才参加笔试,换句话说只要你是认真写网申的,基本上能通过的。但毕马威喜欢在笔试中淘汰人,这个淘汰率在百分之八十左右,关于笔试会在下个部分继续详细讲解。毕马威的网申大致概括起来,主要是填写一些个人的资料和个人的经历(包括奖学金、社会实践、实习等等),这一块基本上是按照自己的情况来填写,一般来说有学生工作经验,有奖学金,有相关工作实习的同学都是毕马威所倾向的,通过率会更高一些。除了这块,还有一块是open question,即开放性问题。在前面我之所以要写open question,并非是我喜欢洋气,而是因为想提醒各位毕马威的所有内容的填写都是英文的,包括这个开放性问题都是英文填写。因此,如果各位的写作水平还仅仅停留在考过六级的水平上,那么在这个上面就会吃很大的亏,因为你没等到别人来看你的内容就死在了很多语法错误和单词错误上面。接下去的我所说填写open question的经验,仅仅是在你能够保证你的书写能够基本没有语法错误和单词拼写错误的基础上。毕马威的open question一共有五个,分别是:Q1: Please give a brief summary of your current recreational and leisure activities, including sports and hobbies,Q2:What clubs and societies are you a member of and in what capacity?Q3:What factors have influenced your career choice? Please tell us about a situation where you have used two of KPMG's values to achieve a positive outcome.填写这五个问题的时候,虽然问题都不相同,但有一个答题的思路是肯定的,那就是举出自己切身经历过的例子来证明自己的论点,如果你只是在泛泛而谈而没有具体的论据来进行支撑,那么这种答案是会被人马上毙掉的。其次,不要落入俗套,要让人对你的答案有一种耳目一新的感觉。就比如第一个问题,概括你自己业余的爱好。那么,所谓俗套的答案就是我平时爱好打篮球,看书,我生性安静,街坊大妈大哥都夸我是新时代的好青年。但如果想的创意一些,就比如说我平时最爱做的一件事情是健身,为什么呢,因为我相信,身材是体现一个人自律最好的地方,我首先需要对自己自律,这样才能够在以后的工作中对自己的任务负责和自律。如果你能做到以上的,我相信你马上能够收到你的笔试通知。 二、笔试 收到笔试通知的你一定很兴奋,但你必须要知道,笔试才是淘汰率最高的一关。可以说,只要过的笔试,基本上你就是一只脚迈入了毕马威。笔试主要分verbal和math两部分,再次强调,重要的事情说三遍,全英文,全英文,全英文!你听的没错,都特么是英文。Verbal 部分像是做阅读理解,但是量很大,单词水平高于托福之上,基本上是无法将verbal部分全部做完的,具体的考试策略在应届生网上写的很详细了,所以在这里就不再赘述。但我唯一想强调的是,在平时不要以为过了六级就好了,如果有空就去准备准备托福或者雅思考试,这对你只会有好处没有坏处。Math部分是我觉得十分有意思的一块,它考的侧重点不是说你有多么深的数学知识,相反它考的内容很简单,基本是一些基础的代数,但其中包含了许多在会计事务所工作常常会用到的会计上的一些勾稽关系和计算手法。Math的题量也是十分大,且时间很短,我想毕马威的用意就是测试你在高压下快速计算的能力,毕竟人在高压力下要保证完成度和正确率是一件很难的事情。但就我自己的观点来看,你可以拿他们在官方网站的样板题来做一做,分析分析里面的模型和模式,后来我去考的时候发现考的思维模式无非就是那么几种,只不过换了一个情景换了一些数据。我当时也是运气比较好,考前他们都说数学是做不完的,但我按照自己的节奏把题目做完了而且感觉正确率在百分之九十五

毕马威变形记(一) 你们信仰查拉斯图拉,但是对于查拉斯图拉又有什么关系!你们还不曾找到自己,你们先找到了我。——尼采《查拉斯图拉如是说》具有百年历史的国际“四大”会计师事务所毕马威,因为涉嫌在锦州港虚假陈述案中负有连带责任,未能公正审计,在中国被告上法庭。“四大”的神话和权威,被更多中国人所质疑。用简单的分析方法就能得出的结论,为什么大名鼎鼎的的毕马威反而发现不了?这是一个问题。还有一个问题,100万人民币的审计费用,用得着年收入上百亿美元、以百年声誉著称的毕马威铤而走险装糊涂吗?进入中国市场以来,毕马威为防范风险下足了功夫,从员工素质和培训,到风险导向审计,再到对客户的精挑细选,“只与君子打交道”,为什么还是出现了问题?联合国贸发会议的一份报告指出,世界“五大”会计师事务所在给亚洲公司进行审计时,采用较低的审计标准,而同时又以其令人尊敬的会计职业名声签署审计报告,给人以公司财务状况健康的假象。为什么“四大”敢于“变脸”?“我不是毕马威,如果换成我,也许做的更糟。”最先揭露锦州港假账问题的一位会计学教师说的一段话,或许能够帮助我们探究一个国际榜样在中国的变形毕马威触礁锦州港早春,仍寒,却是火热的上市公司年报高峰期。3月中旬,来自锦州港(600190、900952)的消息,北京毕马威华振会计师事务所对该公司2002年年度的审计工作刚刚结束,审计人员已离开锦州回京,正在撰写审计报告。一个月前,2月9日,上海律师宋一欣作为他朋友徐倩的代理人,走进沈阳市中级人民法院,递交了以锦州港务股份有限公司、全国工商联副主席兼前锦州港董事长张宏伟、广发证券、北京毕马威华振会计师事务所和香港毕马威会计师事务所为被告的民事诉状,索赔15587.94元人民币。毕马威在北京和香港的这两家会计师行,因为涉嫌在锦州港虚假陈述案中负有连带责任,成为国际“四大”会计师事务所在中国被投资者起诉的第一家。与此同时,这也是中介机构会计师事务所在国内证券民事赔偿案中首次成为被告。锦州港(600190、900952)A股、B股分别于1999年和1998年在上海证券交易所上市,境内审计工作委托给毕马威华振会计师事务所,境外审计由毕马威香港会计师行完成,历年审计报告均被毕马威出具标准无保留意见。具有百年历史的毕马威是全球第三大会计师事务所,1983年在北京建立国内第一家办事处,1992年成立国内第一家中外合作会计师事务所。随之毕马威在上海,广州,深圳先后设立了分支机构,现有中国员工1000多人。去年12月,毕马威首次选址中国,在上海召开它的全球董事会议,重点研究在华业务的战略导向和行动方针。毕马威国际主席利万基宣布,未来10年中国业务将成为毕马威全球最大的业务分支之一。区区1万多人民币的诉讼标的,与毕马威在华的业绩增长相比不值一提。2002年毕马威在中国又赚了个钵满盆满。来自彭博资讯的消息,尽管去年各大国际会计师事务所利润增长纷纷降至10年来最低,但毕马威却宣布2002年的收入增幅达3.9%,尤其大中华区业务高速增长,仅从中国上市公司中(A股、B股)至少取得了9000余万元的年度审计收入,名列“四大”之首(毕马威2002年中国境内A股上市公司审计客户名单见上表)。真正让毕马威头疼的是它去年沾染上的美国施乐公司14亿美元虚增利润,毕马威坚称自己是客户管理层欺诈行为的牺牲品。与在国外到处喊冤不同,这家会计师行却对它在中国的官司保持沉默。“这是一个意外,”这是毕马威香港会计师事务所的陈佩慈小姐惟一的表态,她拒绝对诉讼和自己公司是否有过错发表任何信息,只是说诉讼事项已经委托给北京毕马威华振事务所处理。宋一欣律师说:“未接到毕马威和解意向的表示。”香港毕马威的陈佩慈小姐表示:“和解尚不在考虑之中。”而北京毕马威华振也只是告诉《商务周刊》,已接到法院受理通知,为锦州港年报审计签字的注册会计师罗铮已经升任毕马威华振合伙人,但包括她在内的所有被询问的合伙人均拒绝回答问题。一位毕马威华振的高级经理私下与本刊记者会面时透露,由于正值上市公司出年报,毕马威华振里聚积着从各地汇拢来的财务报表,“装配车间”里的“审计工人”正有条不紊地在流水线上忙碌。但他承认,“锦州港”已经是办公室里敏感的字眼,同事之间、和客户在电话中都不会随便谈论。锦州港董事会秘书处齐文辉告诉《商务周刊》,
