一般情况下美国公司要在中国境内成立外商投资、设立分支机构、办理企业并购时，国内相关部门比如商务部会要求企业提供其美国公司存续证明；或者国内公司在于美国公司发生商业纠纷需要在国内法院起诉美国公司时，法院也会要求当事人提供美国公司的存续证明。 什么是公司存续证明？

公司的营业执照并不能代表一个公司目前的运营状态是否正常，像中国公司需要年检一样，美国公司也需要年检才能维持其良好状态。公司存续证明的英文为Good standing ，也叫Certificate of Account Status 。
