双方本着公平、自愿和诚信的原则，经友好协商达成如下条款(包括基本条款以及其他条款两个部分)：
(一)基本条款：General Articles
1.客户方委托设计方提供的建筑设计服务均以本合同各项条款、附录、附表以及双方为履行本合同相关内容所签订的补充协议等所约定的内容为准，设计方应按照双方的约定和客户方的要求完成― A‖工程设计的各项工作。本合同的附录、附表、其他条款以及补充协议等附件是本合同不可分割的部分，具有与本协定书同等的法律效力。The architectural design services that the Client appoints the Designer to provide shall be in compliance with the provisions, appendixes and exhibits of the Contract, as well as with the provisions in the supplementary agreements in conjunction with the execution of the Contract that have entered or may be entered between the parties. The Designer shall carry out the design tasks for ―A‖ Project according to the agreement between both parties as well as the requirements of the Client. Appendixes, exhibits, other articles and supplementary agreements of the Contract are integral part of the Contract, and shall have the same legal binding force with the Contract.
2.客户方委托设计方为― A‖工程提供的详细设计服务项目全部列于本合同附表2——《设计服务项目清单》中，同时设计方承诺按照该附表中客户方的要求提供列明的全部服务项目。All detailed items of the design services that the Client appoints the Designer to provide for ―A‖ Projec t are included in Exhibit 2 – List of Design Service Items . The Designer shall pledge that all service items listed shall be provided in accordance with the requirements of the Client.
3.设计方提交工程D阶段的图纸设计深度，须满足附表3——《客户方对设计成果的深度要求》的要求。The depth of the drawings and designs for Stage D of the Project submitted by the Designer shall comply with the provisions in Exhibit 3 – Requirements from the Client on the Depth of the Design Results.
4.对于设计方提供的各项服务内容和设计成果，应及时根据客户方的要求、反馈意见或中国相关审批机关提出的修改意见以及相关的法律法规对方案进行必要的修改和调整，并按照附表4---《设计方交图时间表》约定的时间内交付客户方。The services and the design results provided by the Designer shall be amended and adjusted in a timely manner according to the requirements and feedback of the Client, the deliberations of the competent authorities of China, as well as relevant laws and regulations, and shall be delivered to the Client within the time frame provided in Exhibit 4 – Designe r's Submission Schedule for Drawings .
5. 客户方在此承诺按照本合同的各项约定，在设计方按照客户方的要求完成附表2中相应阶段的工作内容并得到客户方的书面确认通知后，客户方将根据附表5——《费用、开支及付款方式》的相关约定向设计方支付相应工作阶段所列明的设计费用。The Client hereby pledges that after the Designer completes its tasks listed in Exhibit 2 in accordance with the requirements of the Client and after the Client issues to the Designer a written notice for confirmation, the Client shall advance to the Designer due design fees prescribed for different stages of the completion of tasks according to the Contract and Exhibit 5 – Costs, Expenses, and Payment Terms .

自改革开放以来，我国对外经济交往日益频繁。在对外经济活动中，所有国际商务活动的进行都需要签订合同和书写法律文书。尤其在中国加入世贸组织之后，随着经济的发展和信息全球化，跨国商务交往更加频繁，这就促进了对商务合同进行翻译的需求。但由于专业背景的欠缺和英汉文化差异的存在，目前不少商务合同的翻译存在许多问题，有时可能会错误百出。而这些不符合规范的商务合同的翻译不但会引发法律纠纷，造成巨大的经济损失甚至还可能扰乱国际市场秩序，由此可以看出商务合同的翻译需要有具体的基本原则和翻译策略的指导。 有鉴于此，本文作者着手试析英文商务合同翻译的基本原则和策略。 本文第一部分介绍了商务英文合同翻译的现状及存在的问题。 第二部分针对英文商务合同翻译的“忠实原文、用词准确”、“译文完整、文体规范”、“达意通顺、条理清晰”等方面来阐述英文商务合同的翻译原则。 第三部分是对英文商务合同翻译的技巧进行了列举，如了解汉语的表达习惯、熟悉与商务英语相关的专业知识、使用专业术语翻译。 第四部分为本论文的结论部分，英文商务合同的翻译策略,并不是一成不变的，应该学会变通和灵活运用各种翻译技巧,不同的场合和语境中根据翻译的基本原则采用不同的翻译策略,无论怎样,英文商务合同的翻译首先要忠实于原文，然后要正确把握合同中的词义，注意翻译中的措辞以免引起歧义使整个译文融于一体。 关键词：英文商务合同；翻译原则；翻译技巧

商务合同属于法律性公文，所以英译时，有些词语要用公文语词语、 特别是酌情使用英语惯用的一套公文语副词，就会起到使译文结构严谨、逻辑严密、言简意赅的作用。 一. 公文副词 但是从一些合同的英文译本中发现，这种公文语副同常被普通词 语所代替，从而影响到译文的质量。 实际上，这种公文语惯用副词为数并不多，而已构词简单易记。常用 的这类副词是由hers theres where等副词分别加上after、by、in、of、on、to、under、upon、with等副词，构成一体化形式的公文语 副词。例如： 从此以后、今后：hereafter; 化匕后、以后:thereafter; 在其上:thereonthereupon 在其下:thereunder; 对于这个:hereto; 对于那个：whereto; 在上文:hereinabovehereinbefore 在下文：hereinafterhereinbelow; 在上文中、在上一部分中：thereinbefore; 在下文中、在下一部分中：thereinafter.把商务英语页面加入收藏夹现用两个实例，说明在英译合同中如何酌情使用上述副词 例1:本合同白买方和建造方签署之日生效。
This Contract shall come into force from the date of execution hereof by the Buyer and the Builder. 例2:下述签署人同意在中国制造新产品，其品牌以此为合适。 The undersigned hereby agrees that the new products whereto this trade name is more appropriate are made in China. 二、谨慎选用极易混淆的词语 英译商务合同时，常常由于选词不当而导致词不达意或者意思模 棱两可，有时甚至表达的是完全不同的含义。因此了解与掌握极易混 淆的词语的区别是极为重要的，是提高英译质量的关键因素之一，现把常用且易混淆的七对词语，用典型实例论述如下。 2.1. shipping advice 与shipping instructions shipping advice是“装运通知”，是由出口商（卖主）发给进口 商（买主）的。然而shipping instructions则是“装运须知”，是进口商（买主）发给出口商（卖主）的。另外要注意区分vendor （卖主）与vendee （买主），consignor （发货人）与consignee （收货人）。上述这三对词语在英译时、极易发生笔误。 2.2. abide by 与comply with abide by与comply with都有“遵守”的意思.但是当主语是“人” 时，英译“遵守”须用abide by。当主语是非人称时，则用comply with 英译“遵守”。 例3:双方都应遵守/双方的一切活动都应遵守合同规定。
