Lease Agreement

根据《中华人民共和国合同法》,各方当事人在平等、自愿、公平和诚实信用的基础上,经协商一致,就承租方租赁出租方可依法出租的房屋事宜,订立本合同。

According to Contract Law of People’s Republic of China, based on equality, freewill, fairness and good faith, upon discussion and agreement, each party agrees to sign this Lease Agreement regarding the Premises which Lessor is entitled to lease to Lessee.

第2条出租房屋情况

Premises

2-1 阿尔法瑞兆控股有限公司(以下简称“业主”)系中华人民共和国上海市寿宁路98号的上海辉盛庭国际公寓(以下简称“物业”)的唯一且合法所有权人。根据业主与甲方于2012年9月30日签订的租赁合同的相关约定,甲方拥有向第三方转租物业中全部或部分房屋,并收取租金、物业管理费、公用设施费以及其他相关费用的权利。

Alpha Result Holdings Limited (the “Owner”) is the sole and lawful owner of the Fraser Residence Shanghai, located at No. 98 Shouning Road, Shanghai, P.R.C. In accordance with the lease between the Owner and Party A dated [September 30th, 2012 ], Party A is entitled to sub-lease to any third party all and part of the premises of the Fraser Residence Shanghai and receive rental, property management fee, utility fee and other fees accordingly. 2-2 辉盛国际管理公司,是一家在新加坡注册成立的公司,经业主聘请和授权管理物业。

Frasers Hospitality Pte Ltd (formerly known as Frasers Hospitality Pte Ltd), a company incorporated in Singapore, has been engaged and authorized by the Owner to manage the Fraser Residence Shanghai.

平方米,房屋类型为住宅。乙方亦同意租用上述房屋。本协议的房屋是经过装修、配备家私、电器(参见附件一房屋户型图及公寓财产清单)的住宅单位。

Party A shall lease to Party B the premises located in in Fraser Residence Shanghai (Unit

[ 1611 ] located on No. 238 Xizang South Road indicated in Shanghai Certificated of Real

Estate Ownership) (the “Premises”). The construction area of the Premises is 140.12 square meters, Premises shall be used as residence. It is a serviced residence provided with

electrical appliances, furniture, beddings and kitchen wares as standard equipment on the

attached list。

2-4 房屋之权属证明为房地产权证,证书编号:沪房地卢字(2005)第002876号。房屋的房地产权证复印件为本合同附件二。

The ownership certificate of Premises shall be the Property Ownership Certificate ( No.: 沪房地卢字(2005)第002876号 ). The Property Ownership

Certificate of Premises is attached in Appendix II.

2-5 甲方作为房屋的转租人与乙方建立租赁关系,甲方应提供可证明其身份的文件供乙方查验(包括但不限于房屋所有权证书、营业执照/身份证明及其它证明文件)。签订本合同前,甲方已

告知乙方房屋[已]设定抵押。

Party A, as the sublessor of the Premises to have lease relationship with Party B, shall

provide all identity documents to Party B for verifying (including but not limited to certificate of

property rights, business license/ID card and other necessary documents). Prior to the

signing of this Agreement, Party A has made it known to Party B that the Premises [have

been under the mortgage] under any mortgage.

2-6 租赁期开始前,房屋及其设备电器应已装修或安装布置完毕,处于可供租赁的清洁、良好状态(包括灯饰和窗帘,详见附件一)。甲方在此承诺已如实、完整地在本合同中告知乙方房屋权

属、结构、环境及使用上的任何瑕疵和缺陷,不存在其他未在本合同中告知的瑕疵或缺陷。该

房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设备状况和甲方同意乙方自

行装修和增设附属设施的内容、标准及需约定的有关事宜,由甲、乙双方分别在本合同附件中

加以列明。甲、乙双方同意该附件一作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返

还该房屋的验收依据。

Prior to the tenancy, the Premises shall have been fully furnished and equipped according to

the Appendix I to this Agreement which covers furniture, electrical appliances, renovation

and decoration. Party A hereby assures that it has informed Party B of any possible defect of

the Premises. The use range condition and requirement Premises common places; the

present decoration、attached facilities、the decoration and the content standard and other

relevant of the decoration and attached facilities increased by Party B, which is agreed by

Party A, shall be listed in appendix Ⅰby Party A and Party B. Party A and Party B both

agree that the appendixes shall be considered as the inspection record when Party A hands

over the Premises to Party B and when Party B returns the Premises to Party A upon

completion of this leasing term in accordance with this. Please See Appendix 1

第3条租赁用途

Purpose of Lease

3-1 乙方保证,遵守国家和当地有关房屋使用和物业管理的规定,租赁房屋作为居住使用。

Party B undertakes to adhere to any relevant regulations made by the central/local

government regarding the usage of Premises and property management, and as residential

living only .

3-2 乙方保证,在租赁期内未征得甲方书面同意以及按规定经有关部门审批核准前,不擅自改变上款约定的用途。

Party B hereby declares it will not change the purpose of lease during the tenancy without

Party A’s prior written consent and the necessary approval from competent authorities.

3-3 在法律允许的范围内,乙方有权合法使用该房屋以供其指定的居住人(以下称为“居住人”)使用而无须征得甲方的同意。

Within the scope permitted by laws, Party B is entitled to use the Premises for its designated resident (the “Resident”) without the consent of Party A.

第4条租赁期限

Tenancy

4-1租赁期为12个月,自__2013____年___月__日至___2014__ 年____月___日。在租赁期内若乙方擅自提前解除本合同,甲方有权扣除乙方的保证金作为违约金。乙方在支付完按合同规定因乙方实际使用而产生的公用事业费用和房屋损坏赔偿费(如有),若该等违约金不足以弥补甲方损失的,乙方应予以补足。如有任何已付但乙方未居住期间的租金,甲方应立即返还或根据乙方选择冲抵违约金。甲方应就违约金全额出具上海市房地产租赁发票。乙方在收到前述发票后二十个工作日内向甲方付款。

The above Premises is hereby leased for a term of 12 months, commencing on 2013-09-01_____ and expiring on _2014-08-31_____.Within the leasing term, if Party B terminates the earlier, Party A is entitled to deduct the deposit as penalty If the said compensation is insufficient to cover the loss incurred by Party A, Party B shall make up the difference. Party

B pays off all the utilities fees arising from the actual use of Premises according to the

stipulation of the agreement and property damage compensation(if any); and in case there is pre-paid rental for unoccupied term, Party A shall either refund to Party B immediately or offset the compensation if Party B chooses so. Party A shall issue the Shanghai Municipality Rental tax invoice of the compensation payment to Party B. Party B shall make payment to Party A within 20 working days upon its receipt of such tax invoice.

4-2 租赁期届满,甲方有权收回房屋,乙方和居住人亦应如期交还房屋。乙方有意继续承租房屋的,享有优先续租权,但应于租赁期届满前一个月,向甲方提出书面续租要求,经甲方同意后签订续租合同。

Upon the expiry of the Tenancy, Party A is entitled to collect the Premises, Party B and Resident shall return the Premises timely. Where Party B desires to renew the lease, Party B enjoys the priority to lease the Premises, and a written notice shall be served to Party A one months in advance before the expiration; based on Party A’s consent, a new agreement shall be reached/signed.

4.3 在租赁合同期限内,甲方擅自解除本合同,提前收回该房屋的,甲方除应将乙方已付但

未居住期间的租金以及保证金全额退还外,另外还应将相当于二个月的租金的违约金赔偿给乙方。

Within the lease term if Party A terminates the Lease Agreement and repossesses the Premises without being authorized to do so, Party A shall be obliged to pay Party B a penalty which is equivalent to two months’ rent al apart from refunding Party B the entire amount of its security

deposit and the -paid rental for the unoccupied term.

第5条租金、支付方式和期限

Rental and Method of Payment

5-1 甲、乙双方约定,在本合同租赁期限内,房屋月租金共计为人民币 41000 元。租金从合同第4条规定的起租日期起计算。

The monthly rental shall be RMB 41000 within the Tenancy under this Lease Agreement. and payable from the Commencement Date hereinafter defined in Clause four hereof。

5-2 租金内包括任何政府可能向甲方征收的税费、物业管理费[物业管理费包括但不限于:(1)生活用自来水费、室内游泳池及健身房的使用;(2)一周三次客房清洁(周日和公共假日除外);(3)宽带的安装和使用费用。]以及正式房屋租赁发票, ______会所会员卡__ 张,电话安装费,宽带的安装费和使用费,正版卫星电视和有线电视的安装费和收视

费。

The monthly rental includes any tax which may be imposed to Party A by government

authorities, property management fee, [management includes but not limited to: (1) usage of

water, in-door swimming pool and gym facility; (2) 3 times housekeeping service per week

except Sundays & Public Holidays; (3) broadband access and usage] official invoice, membership card(s) of _____ club, telephone installation fee, broad-band Internet

connection installation and usage fees, cable and satellite TV installation and usage fees.

5-3 甲方应在双方合同签订后开具第一个月租金的发票,乙方在收到甲方发票的20个工作日内支付第一个月的租金即人民币[ 41000 ](大写: [ 肆万壹仟元 ]整).否则乙方无权

开始使用该房屋。

Party A agrees to provide Party B official invoice of first month’s rental once both Party A and

Party B sign the lease contract, Party B shall pay the first month rental within 20 working days

after receiving the invoice from Party B.

5-4租金按月支付。甲方应在每月一日(以下称为并记作“票据提交日”)之前将当月租金的付款通知和正式房屋租赁发票提交乙方。乙方应在票据提交日或该等票据实际提交

日两者之间较晚者之后贰拾(20)个工作日内(以乙方汇出日期为准)向甲方指定账

户划拨该租金。如果本合同项下的租金未按照本合同约定的方法足额、按时支付的,

每逾期一日,乙方须按照应付费用每日千分之一的比例支付滞纳金,该滞纳金以拖欠

的具体天数计算,直至应付费用已全额支付完毕。

Rental shall be paid monthly. Party A shall provide Party B with the relevant debit note and

official invoice of the rental for the following month before the first of each month (“Invoice

Submission Date”); Party B shall settle the payment of the rental to Party A’s designated account

within twenty (20) business days from the Invoice Submission Date or the actual date which

Party A provides the debit note and official invoice, whichever is later. If Party B fails to fully pay

the rent, other fees or any expenses to be borne by Party B on the agreed time according to

this Tenancy , Party B shall pay late payment interest equivalent to 1‰of the due payment

per day, accounted by the actual overdue dates until the fulfillment of the payment.

第6条押金和其它费用

Security deposit and other charges

6-1 甲乙双方约定,在双方签订合同后的20个工作日内,乙方应向甲方支付相当于2个月租金的保证金,计人民币八万二千元整,作为乙方履约的担保。甲方在收到乙方保证金3个工作日内向乙方提供保证金的收据。

Both Parties agree that Party B shall pay Par ty A secur ity deposit within 30 days after both parties sign the contract. The security deposit is 2 month rent including the property management fee CNY 82,000.

6-2 租赁期间,使用该房屋所发生的电、通讯、设备、居住人附加设备维修等费用由居住人承担。甲方应书面告知居住人上述费用,计算或分摊办法。

During the leasing term, Party B shall be responsible for the full payment of the Premises of the costs of electricity, communication, and equipments that are provided for Party B.

6-3 甲方将在乙方满足下列全部条件后二十二个工作日内,把乙方已付的保证金无息退还给乙方:(1)乙方或居住人已依照本合同约定将房屋、出入建筑物的各个部分的所有钥匙以及保证金收据原件交还给甲方;

(2)乙方或居住人已按照本合同的约定缴清全部应交纳的费用,包括但不限于,应交纳而未交纳的租金、物业管理费、其他费用(包括但不限于电费、通讯费等);

(3)居住人已按照本合同第7条的规定返还房屋,并且经甲方书面确认居住人未损毁该房屋及其附属设施(包括但不限于家具、家电),房屋及其附属设施因正常使用而造成的自然损耗不得归于居住人的损毁。

(4) 如乙方或居住人未符合上述一种或数种情况的,则在不影响甲方在本合同下其他权利的前提下,保证金应首先抵扣和/或补偿上述应付而未付费用和/或违约金和/或赔偿金。如保证金不足以抵付上述费用的,甲方有权向乙方或居住人追偿。

When the Contract is terminated due to expiration or upon agreement between the two parties, Party A shall return the Security Deposit to Party B within the twenty-two working days after Party B fulfills the following conditions.:

(1) Party B or residence surrenders the Premises, returns all the keys to pass in and out of the Building or any part of the Premises and the original receipt of the Security Deposit to Party A pursuant to the Agreement;

(2) Party B or residence has paid for all the charges according to the Agreement, including but not limited to rental, property management fee and other payables (including but not limited to all outstanding electricity fees and telecommunication fees);

(3) The residence has returned the Premises in accordance with Clause 7 hereof and Party A has acknowledged in writing that there is no damage of any part of the Premises or its facilities (including but not limited to furniture and electrical appliances); and

There is no default by Party B or the residence of any terms during the leasing term.

(4) In the event that any of the above conditions has not been satisfied with, the Security Deposit shall be applied in or towards payment of monies outstanding or making good any breach by Party B or the residence or to deduct from the Security Deposit the loss or expense to Party A occasioned by such breach without prejudice to any other right which Party A may be entitled to under this Agreement. In the event that the Security Deposit is not sufficient to cover the foresaid losses/expenses, Party B or the residence shall further indemnify Party A and hold Party A harmless against the amount of such short fall.

第7条房屋使用要求和维修责任

Premises Usage Standard and Obligations of Repair

7-1 租赁期间,甲方应保证房屋(包括装修)及其附属设施和公用事业设备(包括供给)处于正常的可使用和安全的状态。甲方还应保证物业管理方提供保安、消防服务并及时对乙方、或居住人、或丙方在本合同项下的合理诉求做出及时响应。甲方对房屋和其设施/供给进行检查、养护,应提前三日书面通知居住人;检查、养护时,居住人应予以配合。

Party A shall guarantee that the Premises (including decoration) and its facilities and utilities/supplies shall be under the condition of usable and safety during the leasing term.

Party A shall also ensure that the property management party should provide sufficient security and fire prevention services and respond timely to any reasonable request by Party B,Party A shall notice Party B One (1) day in advance while repairing maintenance Premises. Party B shall assist or cooperate with Party A. Party A shall minimize the influence of Party B’s using of the Premises.

7-2 租赁期间,除本合同第10条第10-1款第(5)项述及的原因外,乙方、或居住人发现房屋(包括装修)及其附属设施或公用事业设备(包括供给)存在缺陷、发生损坏或故障的(下文统称并记作“故障”),应及时通知甲方,甲方应自收到相关通知之日起三日内进行维修。甲方据不维修的,乙方可代为维修,费用由甲方承担。故障致使房屋不适宜居住或危及居住人的安全致使居住人迁出的,甲方应向乙方提供相同(或以上)房型供乙方临时或长期居住至合同期结束。如果乙方无法接受甲方提供的房源,乙方有权在两个月内提出终止合约,双方无须赔偿。

During the Tenancy, unless caused by force majeure set forth in Article 10.1(5) hereunder, Party B, the Resident shall timely inform Party A of any damage or malfunction of the Premises (including the decoration) and its facilities and utilities, public utilities equipment (including the supplies) (the “Failure”). Party A shall make the Failure repaired within three days upon its receipt of the relevant notice. If Party A refuses to repair, Party B can help for the repair, Party A have to bear the cost .In the event the Failure renders the Premises unusable/inaccessible of force the Resident to vacate the Premises, Party A shall arrange another same standard (or above) apartment for Party B temporary use or long term stay until end of this lease. If Party B doesn’t accept the above replaced apartment, Party B has right to terminate the lease within two month after the arrangement, and Both Parties no need to pay penalty.

7-3 租赁期间,乙方应合理使用并爱护房屋(包括装修)及其附属设施或公用事业设备。因乙方(或应其邀请或要求进入房屋的人员)使用不当发生损害或造成故障的,乙方应负责维修。乙

方不维修的,甲方可代为维修,由乙方承担费用。

During the Tenancy, Party B shall take good care of and reasonably use the Premises (including the decoration) and its facilities and utilities. Party B shall repair any Failure caused by Party B’(or the person invited or required by Party B’to enter the Premises)’s improper use. In case Party B decides not to repair the Failure, Party A may repair at Party B’s expense.

7-4 乙方另需装修或者增设附属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门审批的,则还应由甲方委托乙方报请有关部门批准后,方可进行。乙方增设的附属设施和设备

归属及其维修责任由甲、乙双方另行书面约定。

If Party B intends to make renovations or changes to the original facilities, Party B shall do so only after obtaining the written consent of Party A. Party B shall be able to carry out the said project only after going through the application formalities to the related department in accordance with the relevant regulations. The ownership and responsibilities of repairing the accessory equipment shall be stipulated at some other time by Party A and Party B

7-5 租赁期届满前一个月内,乙方应允许甲方或其指定的代理人经与乙方预约后,在合理的时间带领其他有意租赁房屋的人员参观。

During the last month of the Tenancy, Party B shall permit Party A or its representative to visit the Premises with other potential tenants, at a reasonable time and upon prior appointment with Party B.

7-6 乙方和居住人同意遵守附件三列出的各项规定。

Party B or the Residence shall comply with all terms set out under Appendix 3.

第8条房屋返还时的状态

State of Premises upon Surrender

8-1除甲方同意乙方续租外,乙方和居住人应在租赁期届满后的当日或提前解除生效日的当日返还房屋。如乙方或居住人因特殊原因无法在届满当日返还,甲方同意给与乙方至多柒日的宽限

期,在此期间乙方应按照本合同约定的租金,按实际延期日数支付甲方,甲方应向乙方提供正

式房屋租赁发票。若乙方在七天宽限期届满后仍未返还房屋的,每逾期一日,乙方应按日租金

的两倍向甲方支付该房屋占用费。乙方逾期未能交还租赁物业,影响新承租人进驻房屋的,还

应当承担甲方因此遭受的全部直接损失。

Unless Party A agrees to renew the lease with Party B, Party B and the Resident shall surrender the Premises to Party A after 7 date after the expiration of the Tenancy. In case Party B fails to do, so Party B shall pay double amount of the Rent per day for the occupation fee of the Premises. In the event that the failure of returning the Premises affects the entry of the new tenant, Party B shall indemnify Party A against all direct losses arising therefrom.If Party B or the Resident is unable to do so due to special circumstances, Party A agrees to grant a grace period of up to seven (7) days to Party B, for which period Party B shall pay the rental as set

forth in this Agreement to Party A on the basis of actual days delayed, and Party A shall provide Party B with official premise rental invoice.

8-2 乙方返还房屋应符合正常使用后的状态并经甲方验收认可,但乙方不必为合理损耗、房屋固有的缺陷和自然损耗引起的毁坏负责。甲、乙双方应结清各自应承担的费用。乙方或居住人未征

得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者改动、增设附属设施、设备

的,甲方有权要求乙方或居住人赔偿因此给甲方造成的损失。

Party B shall surrender the Premises in its proper state with Party A’s acceptance, and Party

B or the Resident shall not be responsible for fair wear and tear, inherent defects .Either Party

shall have duly settled any payable. Shall Party B has made changes to the Premises and its facilities without or beyond the written consent of Party A, Party A has the right to require Party B or the Resident to compensate any loss incurred by Party A,

8-3 在租期届满后的七天宽限期后,或本合同提前终止后,无论乙方是否履行其交还房屋的义务,甲方或物业管理公司即被视为已收回租赁物业而乙方即被视为已离开房屋(本款不应被解释为免除乙方按本合同约定交还房屋的义务)。如果乙方仍有固定附着物、装置、设备、装修、装饰或个人物品遗留或弃置在房屋内,甲方或物业管理公司有权(但无义务)在不另行通知乙方的情况下处理或处置此等物品,包括但不限于将此等物品出售以充抵乙方应付未付的任何款项或作为垃圾丢弃,所涉及费用由乙方负担;甲方或物业管理公司无须就该处置或其他处理方法给乙方造成的损失向乙方或其他第三方负责。

Notwithstanding that Party B has carried out the responsibility of returning the Premises about 7 days after termination date or upon the early termination date of the Contract, it shall be deemed that Party B has withdrawn from the Premises (this clause should not be interpreted as exemption of the obligation of return of the Premises in accordance with the Contract). In the case that any fixtures, devices, equipments, fitting-outs and decorations are left over in the Premises, Party A or the property manager has the discretion (but not obligation) to deal with those items without giving notification to Party B, including but not limited to selling those items in order to offset accounts payable by Party B, or discarding such items as waste. The corresponding expenses and charges should be paid by Party B, and Party A or the property manager shall not be liable for damages caused by such act or other disposal to Party B or any third party.

第9条转租、转让和交换

Sublet and Transfer of Premises

9-1 租赁期间,乙方须事先征得甲方的书面同意,方可将房屋部分或全部转租他人。租赁期间,乙方可经事先通知甲方将本合同及其项下的权利义务全部转让给其关联公司(包括但不仅限于克莱斯勒亚太投资有限公司),乙方保证受让人继续遵守并履行本合同所有条款,不影响甲方在本合同项下的权益。

During the Tenancy, Party B must obtain Party A’s prior written consent for any sublets of the Premises in part or in whole. But during the Tenancy, Party B is entitled to transfer all its rights and obligations under this Agreement to its affiliated companies (including but not limited to Chrysler Asia Pacific Investment Co., Ltd.) upon prior notice to Party A. Party B undertakes that the transferee will continue to abide by and perform the terms of this Agreement without affecting Party A’s interest under this Agreement. Party B shall be allowed to sublet the premises in part or in whole to third Party only after getting Party A's written consent during the leasing term unless Party A authorizes Party B to sublet the Premises in the Supplementary Agreement made by Party A and Party B. Party B shall not sublet the same Premises in part or sublet the Premises to more than two other Persons.

9-2 在租赁期内,业主如需出售或以其他方式处置该房屋的,且乙方在此同意放弃优先购买权。

During leasing term, Party B agreed to waive the legal priority right to purchase the rental Premises and, if the Owner desires to sell or dispose the Premises

第10条本合同终止或解除的条件

Termination of Agreement

10-1 甲、乙双方约定,本合同有效期内,有下列情形之一的,本合同终止,甲、乙双方互不承担违约责任,甲方应在二十二个工作日内退还已支付但尚未居住期间的租金:

Party A and Party B agree that, during the Tenancy, should any of the following events occur, this is terminated and neither Party needs to compensate the other Party; however, Party A shall return within twendy (22) working days prepaid rental of unoccupied term.

(1)房屋占用范围内的土地使用权被依法提前收回的;

the land using right of the Premises is legally withdrawn by the government;

(2)房屋因社会公共利益被依法征用的;

the Premises are to be legally taken over by government for use of public benefits;

(3)房屋因城市建设需要被依法列入拆迁范围的;

the Premises are to be demolished for reasons of urban construction;

(4)房屋非因乙方或居住人原因毁损、灭失或者被鉴定为危险房屋的;

the Premises are damaged or destroyed or is certified as unsafe for residential use by

any cause not attributable to Party B or the Resident;

(5)不可抗力(包括但不限于火灾、洪水、地震、超强台风、战争、暴动、罢工、敌对或恐

the Premises are rendered uninhabitable or unusable by force majeure (including but

not limited to fires, floods, earthquake, accidents, strikes, wars, insurrections, public

enemy, terrorist attacks, etc.) or any other cause beyond Party A and Party B’s control

(including water supply, power supply, gas supply, water/air quality, noise, etc.) (for

water/air quality and noise, the test report issued by competent authority is required);

(6)甲、乙双方经协商一致解除本合同的。

Party A and Party B mutually agree to terminate this .

(7)甲方已告知乙方该房屋出租前已设定抵押,现被处分的。

Party B has been informed that the Premises is mortgaged before this lease and the

Premises is now being disposed of

10-2 甲、乙双方约定,本合同有效期内,有下列情形之一的,履约方可书面通知违约方解除本合同,除非该通知内另行指明,本合同于通知送达违约方之日解除;违约方应在此后三十日内向履约方支付相当于月租金贰倍的违约金(如违约方为乙方,履约方应向违约方提供正式发票,乙方于收到发票后二十个工作日支付违约金);违约金不足以抵付履约方可证明的直接经济损失的(租金除外),违约方还应赔偿违约金与该损失的差额

Party A and Party B agree that, during the Tenancy, should any of the following events occur, the faultless Party may terminate this Agreement by notifying the Party in breach in writing and, unless otherwise specified in such a notice, this Agreement is terminated on the date of the notice’s arrival. The Party in breach shall pay a penalty in the amount equivalent to two (2) monthly rentals to the performing Party within 30 days after the termination date (in case Party B is the party in breach, the performing party shall provide the beaching party official invoice, and Party B shall pay penalty within 20 working days upon its receipt of such invoice). If such penalty is insufficient to cover the provable direct economic loss (other than rental) suffered by the performing Party, the Party in breach shall compensate any shortfall.

(1)甲方未按时交付房屋,经乙方催告拾肆日内仍未交付的;

Party A fails to hand over the Premises in due time, and still fails to do so within

fourteen (14) days after Party B or the Resident or Party C’s notification;

(2)乙方或居住人未征得甲方书面同意改变房屋用途,致使房屋损坏的;

Party B or the Resident changes the use of the Premises without Party A’s prior written

consent, which causes damages to the Premises;

(3)乙方或居住人原因造成房屋主体结构损坏的;

The main structure of the Premises is destroyed by any cause attributable to Party B or

the Resident;

(4)乙方违反本合同擅自转租房屋、转让房屋承租权或与他人交换各自房屋的;

Party B is in breach of this Agreement and sub-lets, transfers or exchanges the

Premises to or with any third party;

(5)乙方逾期不支付租金超过壹个月的;

Party B is more than one (1) month in arrears of the rental.

第11条违约责任

Liability for Breach of Agreement

11-1甲方在此声明及保证有合法地位出租房屋与乙方,并已取得所有有关机构和个人的批准。甲方做出虚假声明的,须赔偿乙方因此而承担的任何损失、损害、支出及费用(包括但不限于法律费用)。

Party A hereby declares and undertakes that it is legally entitled to lease the Premises to Party B and has obtained all necessary approvals from interested organizations/individuals. In the event such declaration is false, Party A shall indemnify Party B against any provable costs, expenses,

losses and damages (including but not limited to legal costs).

11-2甲方就房屋出租前的抵押情况或产权转移受限情况未作如实告知或声明,或违反本合同第2条第2-6款约定的义务,导致乙方蒙受损失的,甲方应负责赔偿。

Party A shall fully indemnify Party B against any possible loss, in case it has made false communication or statement on the mortgage or ownership transfer of the Premises before the lease, or violates Article 2-6.

11-3甲方在租赁期开始日未向乙方或居住人如约交付房屋的,乙方无需支付延误期间的租金且有权顺延首月或第二个月租金的支付;此外,甲方每延误一日,还应向乙方支付相当于月租金叁拾分之壹的罚金,乙方(或通过丙方)可以书面形式决定甲方承担该罚金的方式(包括冲抵房租)。

Where Party A fails to hand over the Premises to Party B or the Resident on the commencement date of the Tenancy, Party B is exempted from the rental for such delayed term and is entitled to postpone the payment of the first or second monthly rental accordingly. Furthermore, Party A shall pay 1/30 of the monthly rental to Party B for each day of delay and Party B may (or via Party C) determine Party A’s payment method in written (incl. rental set off).

11-4租赁期间,甲方不履行本合同第7条第7-2款的约定,造成乙方或居住人财产损失或人身伤害的,甲方应负责赔偿。

During the Tenancy, where Party A violates Article 7-2, it shall indemnify Party B or the Resident against any possible economic losses or physical damages.

第12条适用法律及争议条款

Governing Law and Disputes

12-1 本合同受中华人民共和国法律的制约。当事各方由于本合同的解释或执行发生任何争议时,应先通过友好协商解决。协商不成的,各方均可将争议提交上海国际经济贸易仲裁委员会在上海仲裁,按照申请仲裁时该会现行有效的仲裁规则进行仲裁,仲裁的裁决是终局的,对甲、乙双方均有约束力。仲裁费用的承担者由该委员会决定。本合同约定的、与争议无关的所有权利和义务,无论在双方友好协商还是在仲裁的过程中均继续有效。

This Agreement is governed by the le gislation of the People’s Republic of China. All disputes arising from or in connection with this Agreement shall first be resolved by friendly negotiation. If an amicable settlement cannot be reached, the dispute should be submitted to Shanghai International Economic and Trade Arbitration Commission for arbitration in accordance with its arbitration rules in effect while the dispute is submitted. Any arbitration award shall be final and binding upon all Parties hereto. The costs of the arbitration shall be

borne by the Party determined by the Arbitration Commission. All the terms and conditions not concerning the dispute shall be still effective during the negotiation or the arbitration.

第13条全部合同

Entire Agreement

13-1 本合同构成当事各方之间的全部合同,取代以往的所有谈判、承诺、协议和文字。

This Agreement constitutes the entire agreement between all the parties and shall supersede all previous negotiations, commitments and writings.

第14条其它条款

Miscellaneous

14-1 租赁期间,甲方向乙方承诺在房屋抵押后当事人协议以折价、变卖方式处分房屋前玖拾日书面通知乙方。

During the Tenancy, Party A shall notify Party B in writing if it wishes to mortgage the Premises and Party A shall notify Party B in writing ninety (90) days in advance in case the Premises are to be disposed off and discussed by related parties after mortgage of the Premises,.

14-2 本合同项下甲、乙双方任何权利的放弃,都应由放弃方书面通知另一方。

The waiver of any of the rights set forth in this Agreement by either Party A or Party B shall be expressed in writing.

14-4 本合同自甲、乙双方签字后立即生效。根据法律要求,生效后的十五日内,由甲方负责(或委

托丙方)按规定向房屋所在地区、县房地产交易中心或有关部门办理登记备案,领取房屋登记备案证明;本合同经登记、备案后,凡变更、终止本合同的,由甲方负责在本合同变更、终止之日起的十五日内,向原登记机构办理变更、终止登记备案手续。甲方未办理上述相关手续的,应承担一切法律后果。

This Agreement comes into effect upon the signing of Party A and Party B. Based on relevant regulations and laws, Party A shall (or via Party C) register in the real estate trading center or relevant authority in which the Premises is located and obtain real estate registration certificate; after registration of this Agreement, in case there is change or termination of this Agreement, Party A shall re-register or deregister this Agreement with competent authorities within 15 days upon the change or termination date, otherwise all responsibilities arising therefrom shall be borne by Party A..

14-5 本合同当事各方同意将本合同及相关文件、附件的内容列为其保密文件,不得向第三方透露。

当一方泄露前述文件及其内容,另一方保留向其索赔的权利。

All Parties agree to file this Agreement, all additional agreements and appendices hereto as confidential documents, which shall not be disclosed to any third party. In the event of divulgence of this Agreement or any content thereof by any Party, the other Parties reserve the right to claim compensation.

14-6 本合同未尽事宜,经甲、乙双方协商一致,可订立补充条款。本合同补充条款和附件均为本合同不可分割的组成部分。

Any term, condition or other issue not stipulated or unforeseen in this Agreement, may be settled by signing additional agreements through friendly consultations between Party A and Party B. All appendices and additional agreements to this Agreement are integral parts of this Agreement and are incorporated in this Agreement as if herein fully set out.

14-7 本合同中的权利、责任和义务,在本合同终止之日尚未执行完毕的,并不因本合同的终止而失效。

The terms and conditions herein, not yet completely implemented on the date of termination of this -Agreement, shall remain in full force and effect.

14-8 本合同及其补充条款和附件一式六份,甲方执四份、乙方执贰份,均具有同等效力。

This Contract together with the attachment has six (6) originals among which Party A holds 4 copies, Party B keeps two, and the real estate transaction center of Shanghai Municipality shall keep one. All the originals have the same effect.

14-9甲方承诺并保证在本合同订立之前、之时和/或之后的任何时间不得向乙方的任何雇员、居住人及和与他们有利害关系的任何其他人(包括但不仅限于配偶和近亲属)提供或支付任何形式的回扣、房租折扣、便利、好处或其他优惠(包括但不限于现金、实物、家具、装修和/或服务)。

At any time before signing, of signing and /or after the signing the contract and without forwarding the written notice to Party B, Party A consents and guarantees not to outside the stipulation of the contract provide and pay to any employee of Party B, the Resident and any other person that have advantages and disadvantages relationship with the employee and the Resident (including but not limited to the spouse and close relative) the rebate, rental discount, advantage, benefit or other preferential in any form (including but not limited to cash, material object, furniture, decoration and/or service )

14-10 本合同用中、英文贰种语言撰写。英文版本为参照使用,如不同文本之间有冲突,则以中文为准。

The Agreement is executed both in English and Chinese. The English versions is used as reference, in case of discrepancy between the two versions, the Chinese version prevails.

Party B’s Covenants

1. 作为义务

Positive Covenants

居住人应:

Party B shall:

(a)在租赁期限内保持房屋以及屋内设施干净、良好运转状态(允许正常磨损),对因其损坏而导

致的任何人员伤亡或财产的损失负全部责任。居住人有义务立即通知甲方屋内设施的损坏或瑕疵;

keep the Premises, all fixtures or fittings in the Premises in good, clean and proper repair and condition during the leasing term (fair wear and tear excepted) and be wholly responsible for any damage or injury caused to any person or property directly or indirectly through the defective or damaged condition of the same. Party B will promptly notify Party A of any damage to or defects in the Premises;

(b) 负责承担居住人的行为、过失或违约(无论是否故意)而导致的他人的索赔;

be responsible for any claim by third parties arising directly or indirectly from the act, neglect or default (irrespective of whether willful or not) of Party B or any licensee of Party B in the Premises;

(c) 遵守与房屋有关的所适用的法律法规以及公寓管理规定以及租户手册,并在甲方要求下,向甲

方提供所需的信息和协助以使甲方遵守相关的法律法规;

comply with all applicable legislation, regulation and building rules in relation to the Premises and supply to Party A upon demand such information and assistance as Party A shall reasonably

require to enable Party A to comply with any requirements of any legislation relating to the

Building and/or the Premises;

(d) 居住人的行为、过失或违约(无论是否故意)而直接导致的损失,及其对甲方或其物业

管理公司所制定并不时修订的公寓管理规定或租户手册的违反而直接导致的损失、支出、费用,均

由居住人负责赔偿。在甲方的合理要求下,居住人应向甲方提供履约证明;以及

indemnify Party A against all losses arising directly or indirectly from the act, neglect or default (irrespective of whether willful or not) of Party B or any licensee of Party B in the Premises and all losses, costs or expenses arising directly or indirectly from any breach by Party B of this Tenancy Agreement or any building rules from time to time made or adopted by Party A and/or the

Manager of the Building. Party B will produce to Party A such evidence as Party A may

reasonably require to satisfy itself that the provisions of this Tenancy Agreement have been

complied with; and

(e)在租赁期限内取得并维持乙方签订以及履行本租赁合同所需的所有许可、批准,居住人应遵守

所有与使用房屋相关的法律法规、公寓管理规定以及租户手册。

possess and maintain throughout the leasing term such licenses and approvals as are required for Party B to enter into and perform its obligations under this Tenancy Agreement and procure that each individual permitted hereof to occupy the Premises complies with all legislation,

regulation and building rules from time to time in force and applicable to such person relating to residence at the Premises.

2. 不作为义务

Negative Covenants

居住人不得:

Party B shall not:

(a) 将房屋用于本协议规定以外的用途,包括但不限于用于赌博或任何非法或禁止性的目的或进行

其它干扰、损害或危及甲方或邻里之用途。

use the Premises for any purpose other than the use specified hereof, including (without limitation) for gambling or any illegal or prohibited purposes or so as to cause nuisance, damage or danger to Party A or occupiers of neighboring premises;

(b) 在房屋内放置危险、易燃、易爆物品或任何枪械弹药;

keep at the Premises any dangerous, inflammable or explosive goods or any firearms or a

ammunition;

(c) 在房屋内饲养宠物动物(或签订宠物饲养协议);

keep at the Premises any pets or animals;

(d) 在室内大声喧哗而影响到邻里生活;

make any noise in the Premises which is a nuisance to the occupiers of adjacent premises;

(e) 违反或不遵守法律法规、公寓管理规定或租户手册;

do anything which would amount to a breach or non-observance of any legislation, permission or building rules;

(f) 未经甲方事前书面同意,在屋内改装、增设或安装任何设备或器械,或损坏房门、窗户、墙壁或房屋的其他任何部分;

make any alterations or additions to, or to install any equipment or apparatus in or on the Premises, the Building without Party A's prior written consent, or cause any damage to any door, window, wall or other part of the Premises;

(g) 进行任何可能会导致房屋建筑的保险(包括火险或第三方责任险)失效或使得相关保险费增加的行为。

do anything whereby any policy of insurance on the Premises and/or the Building against damage by fire or against claims by third parties may become void or able to void or whereby the rate of premium for any such policy may be increased.
