Mit der Um-setzung innovativer Fl?chen- und Raumstrukturen, hochflexibler Fertigungs- und Versorgungsstrukturen sowie durch die konsequente Anwendung

der BMW …Formel für Arbeit― werden wesentliche Voraussetzungen für effiziente, agile und qualit?tsorientierte Prozesse zur Fertigung anspruchsvoller Produk-te geschaffen.

The BMW Plants at Munich,Dingolfing,Regensburg,Leipzig developed based on the vision

of a sustainable workshop structure and contribute to development in the area of Bavaria and the Central Germany. With the implementation of innovative surface area and space structure, the highly flexible production and supply structures and by the consistent application from BMW, the ―Formel for the Work‖ is created as the basic condition for efficient, agile and quality-oriented process for manufacturing of sophisticated products.

Das Gesamtkonzept l?sst jederzeit Erweiterungen und strukturelle Anpas-sungen an ge?nderte Rahmenbedingungen bei Produkt, Volumen, Ferti-gungsverfahren, Arbeitszeiten oder Umwelt zu und ist damit als integraler Baustein im weltweiten Netzwerk der BMW Produktionsst?tten in idealer Weise auf künftige Anforderungen vorbereitet.

The total concept can be permitted for extensions and structural adaptations to changing conditions on product, volume, production processing method, working hours or to the environment protection at any time and is therefore prepared as an integral component in the global network of BMW production facilities in an ideal way to meet future requirements.

Under these indication that the perception of responsibilities agreed by our service providers and suppliers and also their own efforts for continuous improvement ,all are essential for us towards a successful, stable and cooperative partnership .

Wegen der über die Laufzeit dieses Vertrages sich m?glicherweise ver?ndernden Produktionszahlen der Werke und der damit verbundenen Notwendigkeit, den Umfang der vom Produktionsvolumen abh?ngigen, hier vereinbarten Dienstleistungen an das Produktionsvolumen anzupassen, erkennen beide Vertragspartner ein berechtigtes Interesse des AG, das Leistungsvo-lumen des AN einseitig innerhalb einer zu vereinbarenden Bandbreite festzulegen.

Because the production figures of plants can be changed during the processing time of contract and therefore it is binding with necessity and the scope of the production volume, here need jointed services identical to fit production volume, both contract parties can find out the legal interest from BMW and the service works from Formel K in the other side, so set up one satisfactory cooperation base together.

In den o. g. BMW Werken werden die Dienstleistungen Qualit?tsmanagement, n?her in den Ausschreibungsunterlagen (Leistungsverzeichnisse, technische Spezifikationen, usw.) beschrieben, mit diesem Vertrag gesamt-haft an einen externen Dienstleister vergeben.

Dies vorausgeschickt, vereinbaren die Vertragspartner folgendes:

At above mentioned BMW plants, the technical service of quality management, clear details to be described in Tender documents (working guideline, technical specification etc.).The files together with Contract were submitted to the external service provider. This document will be sent out in advance and agreed by both contract parties as below:

§ 1 Vertragsgegenstand /contract object

1.1. Der AG beauftragt den AN mit den Dienstleistungen Qualit?tsmanagement in den Objekten:

.1.1 BMW AG entrust FormelAN with Technical Service of Quality management on their Objects.

Details sind in o. g. Ausschreibungsunterlagen hinterlegt Anlage 1.

Details are stated in above mentioned Tender documents refer to Attachment 1.

1.2. Eine detaillierte Beschreibung der vom AN zu erbrin-genden Leistungen ergibt sich aus dem Auftrags-Leistungsverzeichnis (nachfolgend …Auftrags-LV― ge-nannt) siehe Anlage 2 und 3.

1.2 One specific Description about Services provided by Formel AN can refer to the Task Working Guideline ( bellows will be called as …Task LV‖ ).

§ 2 Vertragsbestandteile/Contract Contents

Grundlage für die Leistungserbringung im Rahmen dieses Vertrags sind die folgenden Dokumente, im Falle von Wi-dersprüchen zwischen den einzelnen Vertragsbestandtei-len gilt nachstehende Rangfolge:

Basic Contents for Task Arrangement on the frame of this contract are following documents, if any conflicts raised within contract elements, the following consequence are valid:

- die BMW Bestellung /the BMW order sheet

- die in der Bestellung benannten Vergabe- / Verhand-lungsprotokolle

In the Purchase order listed Task / Negotiation protocol

- die hier niedergelegten Vereinbarungen/ the already signed agreement

- das Auftrags-LV, Lastenheft, Pflichtenheft Siehe Anlage 2 und 3

The Task –Working Guide line, Duty book, Obligation book see Attachment 2 and 3.

- die Ausschreibungsunterlagen, z.B. Zeichnungen, Spe-zifikationen der Leistungen etc.Tender documents,e,g,Drawings,Specification of Projects etc.

- die zum Zeitpunkt der Beauftragung gültigen Qualit?ts-normen

The proper Quality standard suitable and valid during period of project

- sonstige Dokumente und Vorschriften die in den Aus-schreibungsunterlagen genannt wurden. The other documents and principals are listed in Tender books too.

§ 3 Leistungsbestimmungsrecht / determination of performance

3.1. Der AG ist berechtigt, dem AN nach billigem Ermessen Leistungs?nderungen anzuordnen, es sei denn, diese sind für den AN unzumutbar. Die Anordnung hat schriftlich zu erfolgen. Der AG muss dem AN die ge-wünschten ?nderungen sp?testens 4 Wochen vor dem gewünschten

Ausführungstermin mitteilen. Ankündi-gungen von Sonderschichten unterliegen nicht dieser Regelung und sind unter Einhaltung einer 24-stündigen Vorlaufzeit m?glich.

3.1.BMW AG is authorized to make Task adjustment with Formel AN after reasonable consideration, if Formel AN is unable to settle the case. The adjustment need to be submitted by written Form. If BMW AG want to determine FormelAN with instruction for expected modification, it must proceed at least 4 weeks before execution date. The Announcements of special shifts are not limited to these rules and can be possible within 24-hour lead time.

3.2. ?nderungswünsche des AG hat der AN hinsichtlich ih-rer Auswirkungen auf die technische Ausführung, die Kosten und Terminpl?ne soweit m?glich aufzuzeigen sowie etwaige Bedenken gegen die Leistungs?nde-rung innerhalb von 7 Arbeitstagen nach Zugang der

?nderungsanordnung schriftlich mitzuteilen.

3.2 BMW AG can advise Formel AN the expecting modification under consideration of their impact on technical procurement, the costing and time schedule ,by the way if possible also pay more attention to service changes within 7 days after running of Modification approval and this request need to pass in writing form.

3.3. Der AG hat das Recht, vom AN ?nderungen hinsicht-lich des Mengengerüstes bis zu 20 % p.a., insbeson-dere bei Mehrungen und Minderungen des Objektbe-standes oder bei erheblichen ?nderungen des Produk-tionsvolumens des AG, zu verlangen. Der AG muss dem AN die

gewünschten ?nderungen sp?testens 4 Wochen vor dem angegebenen Termin mitteilen.

3.3.BMW AG has the right to agree the request from Formel AN to change Volume structure till 20% p.a., especially reduction or increasing change of property inventory or greatly change of production volume from BMW AG. The BMW AG must give this determination to Formel AN at least 4 weeks before requested time schedule.

3.4. Basis für Leistungs?nderungen sind die Einheitspreise des Auftrags-LV.

3.4 The Bases for performance change are unique price in the contract-working guide line.

§ 4 Nachunternehmerleistungen und -verpflichtungen /liability & obligation of

Sub-contractor

4.1. Ohne vorherige schriftliche Zustimmung des AG darf der AN seine Verpflichtungen aus dem Vertrag weder ganz noch teilweise auf andere übertragen oder die ihm übertragenen Leistungen an andere weitergeben. Der AG ist berechtigt, seine Zustimmung ohne Angabe von Gründen zu versagen.

4.1 Without written permission from BMW AG, the FormelAN is not allowed to transfer his obligation partly or completely to the other partners. BMW AG has the right to reject the request without any explanation of reason.

4.2. Der AN darf seine Verpflichtungen aus diesem Vertrag oder die ihm übertragenen Aufgaben ausschlie?lich auf die in der Anlage 4 genannten und vom AG zugelas-senen Konzern- und Partnerunternehmen sowie die in der Anlage 5 zugelassenen Nachunternehmer übertra-gen. Der AG ist jeweils vor Beginn und Beendigung der übertragenen Leistungserbringung zu unterrichten.

4.2 The Formel AN may allow to transfer its obligations under this contract or the duties to the other groups and partner enterprises, who exclusively mentioned in the Attachment 4 and

sub-contractors approved by the BMW AG in Attachment 5. The BMW AG must be informed before the beginning and end of the Project.

4.3. Der AN tr?gt für die beauftragten Leistungen System-verantwortung, d.h. er ist gegenüber dem AG für die Leistungen in s?mtlichen Prozessschritten und hin-sichtlich s?mtlicher Leistungsbestandteile verantwort-lich, unabh?ngig davon, ob er zur Erbringung der Leis-tungen Dritte eingeschaltet hat. Für die Qualifikation des Subunternehmers gelten alle vertraglich beschrie-benen Anforderungen an das Personal gleicherma?en.

4.3 The Formel AN has system responsibility for the appointed Task, it mean

He is responsible for whole project proceeding and all Project components to BMW AG, even if he has transferred his Task and works to Third party. Concerning the qualification of

sub-contractor, all principals described in Contract are valid for these Persons too.

4.4. In den Nachunternehmervertr?gen hat der AN seine Nachunternehmer zu verpflichten, für den Fall der Be-endigung dieses Vertrages eine übertragung des Nachunternehmervertrages auf den AG zu den hier niedergelegten Konditionen zuzustimmen.

4.4, In sub-contract ,the Formel AN has own obligation to control the other enterprises,if this contract go to the end, the transfer of sub-contract with enterprise need to be in conformity with here agreed condition to BMW AG.

4.5. Die Vergabe von Teilleistungen durch Nachunterneh-mer an weitere Unternehmen wird ausgeschlossen.

4.5 The transfer of part task from Sub-contractor to the other enterprises again would be prohibited.

4.6. Der AN wird seine Nachunternehmer gem??Anlage 5 nicht daran hindern, mit dem AG Vertr?ge über andere Leistungen abzuschlie?en. Unzul?ssig sind insbeson-dere

Exklusivit?tsvereinbarungen mit Dritten, die den AG oder den Nachunternehmer am Bezug von Leis-tungen hindern, die der AG selbst oder der Nachunter-nehmer für die Abwicklung derartiger Auftr?ge ben?tigt.

4.6 The Formel AN cannot interfere their Sub-contractor to sign other Project contract with BMW AG according to stipulation in Attachment

5.Not allowed is only that exclusive agreement with Third Party, which one prevent BMW AG or sub-contractors

in the scope of the activity, this one request BMW AG or sub-contractor to execute such contracts by themselves.

4.7. Setzt der AN ohne vorherige schriftliche Zustimmung gem. Ziff. 4.1 Nachunternehmer ein, hat der AG das Recht, den Vertrag zu kündigen und/oder Schadenser-satz wegen Nichterfüllung zu verlangen.

4.7 If FormelAN cooperate with sub-contractor without written permission in advance. As per Stipulation in clause 4.1,BMW AG has the right to stop handling of the Contract and lodge a claim about compensation against non-fulfillment.

§ 5 Vertragskoordination /contract coordination

5.1. Vertragsverantwortlich sind: contract responsible for:

5.2. Ausführungsverantwortlich sind: Responsible for execution:

die AN-Steurer der QMT-Abteilungen im jeweiligen Werk.

Formel AN, the controller of QMT (Quality Management Parts) Department at

relevant plants.

Auf Seiten des AN: Objektleiter ,on the side of FormelAN,Objectleader

Details werden in der Schnittstellenmatrix in der Anlage 19 geregelt.

Details would be regulated at the connection matrix in Attachment 19.

§ 6 Pflichten des AG/obligation of BMW AG

6.1. Der AG stellt dem AN zur Erbringung seiner Leistungen R?umlichkeiten gem??Anlage 6 zur Verfügung, ohne dass hierfür ein gesondertes Entgelt geschuldet ist.

6.1 BMW AG deliver FormelAN the space for proceeding the project as per Attachment 6, if BMW cannot provide, shall pay special penalty properly.

6.2. Der AG stellt dem AN zur Erbringung seiner Leistungen erforderliche R?umlichkeiten gem??Anlage 16 als Mietfl?che zur ausschlie?lichen Nutzung durch den AN zur Verfügung. Die

Vergütung des Mietzinses erfolgt nach den Regularien des in der Anlage 17 beiliegen-den Mietvertrages. Sollten über die vorhandenen Fl?-chen hinaus weitere Fl?chen seitens AN ben?tigt wer-den, sind diese durch den AN auf eigene Kosten au-?erhalb des Gel?ndes der BMW AG anzumieten. Siehe hierzu auch die Ausführungen in der …Interne Policy BMW Werk

Leipzig― gem?? Anlage19.

6.2 BMW shall provide extra space to Formel AN for renting to finish their project according to stipulation in Attachment 16.The cost for renting refer to

Regulations of enclosed Rent Contract on attachment 17.If the existing space is not enough to use for Formel AN, so need Formel AN to rent extra space outside of BMW Plants on his own expense. See explanation in the ―Interne Policy BMW Plant Leipzig‖

As per Attachment 19.

6.3. Der AN hat alle erforderlichen Einrichtungen und Ger?-te für seine Leistungserbringung selbst bereitzustellen. Abweichend hiervon stellt der AG dem AN Ausstattun-gen gem??Anlage 7 zur Verfügung. Siehe hierzu auch die Ausführungen in der …Interne Policy BMW Werk Leipzig― ge m?? Anlage 19.

6.3 Formel AN needs to prepare all necessary equipment and tools to finish his project by himself. Divergent model of equipment will be provided by BMW AG to Formel AN as per Attachment

7. See also th e stipulation on the ―Interne Policy BMW Plant Leipzig‖ according to Attachment 19.

6.4. Der AN ist verpflichtet, die ihm vom AG zur Verfügung gestellten Einrichtungen und Ger?te zu benutzen und pfleglich zu behandeln. Er hat sie bei ihrer übergabe auf ihren ordnungsgem??en Zustand zu überprüfen und dem AG solche M?ngel mitzuteilen, die bei An-wendung der verkehrsüblichen Sorgfalt erkennbar sind. Unterl?sst er die Mitteilung, so haftet er für Sch?-den, die durch nicht ordnungsgem??e Ger?tschaften oder durch unsachgem??e Verwendung der bereitge-stellten Ger?tschaften entstehen. Beharrt der AG trotz einer Mitteilung des AN auf der Benutzung der Einrich-tungen und Ger?te durch den AN, so übernimmt er damit die Haftung. Vom AG beigestellte Einrichtungen und Ger?te bleiben in dessen Eigentum.

6.4 FormelAN is obliged to use and maintain the equipments and instruments provided from BMW AG. He needs to check the ordinary status of instruments during hand-over, and advise BMW the damage case if this is obviously to see that caused from transportation with careless treatment. When they don’t use this tools and instrument appropriate or not properly to their practical function and caused real damage, FormelAN need absolutely to inform BMW AG and charge the compensation. If BMW AG insist on using this tools and instrument even as Formel AG has passed him the specific report about defect, in this case Formel AN will be not responsible for this damage .. All equipments provided by BMW keep the same property of him.

6.5. Der AN hat alle erforderlichen Verbrauchs- und Ersatz-teile, Hilfsmittel und Hilfsstoffe selbst bereitzustellen. Abweichend hiervon stellt der AG dem AN Materialien gem??Anlage 8. Siehe hierzu auch die Ausführungen in der …Interne Policy BMW Werk Leipzig― ge m??Anla-ge 19.

6.5 Formel AN shall prepare all necessary consumable materials and spare parts, additives by himself, if they cannot find this parts, BMW need to afford to supply according to Attachment 8.See also stipulation on ―Interne Policy BMW Plant Leipzig‖ as per Attachment 19..

6.6. Der AG stellt dem AN zur Erbringung seiner Leistungen unentgeltlich Energie und alle erforderlichen Medien zur Verfügung. Für notwendige Verl?ngerungen und Verlegungen der Medienanschlüsse hat der AN auf seine Kosten Sorge zu tragen.

6.6 BMW AG shall provide cost free Power energy and necessary Medium to FormelAN for proceeding their works. If real status needs to extend and lay the Media connections, this cost will be considered on account of Formel An.

6.7. Der AG stellt dem AN für seine Leistungserbringung Nutzungsrechte gem??Anlage 9 zur Verfügung.

6.7 BMW AG gives FormelAN usage rights to finish their Project as per Attachment 9.

6.8. Informationen und Unterlagen:/Information and Documents

6.8.1. Der AG stellt dem AN alle für seine Leistungserbrin-gung erforderlichen innerbetrieblichen Informationen und Unterlagen in Papier- bzw. digitaler Form zur Ver-fügung, soweit diese nicht allgemein zug?nglich sind oder der AN sie nicht selbst zu beschaffen hat und sie vorhanden sind.

6.8.1 BMW AG shall provide Formel AN all requested internal Information and Documents with paper or digital Form to help him during conclusion of project, if this case is not essential and Formel AN also cannot afford ,but real status exist.

6.8.2. Fehlen Informationen und Unterlagen, die für die Leis-tungserbringung notwendig sind, hat der AG auf die Mitteilung des AN gem. Ziff.

7.1 die M?glichkeit, diese nachtr?glich binnen angemessener Frist bereitzustel-len. Unterl?sst er dies, hat der AN sie auf Kosten des AG selbst zu erstellen bzw. zu beschaffen.

6.8.2 When the information and document which are important and necessary for conclusion of Project are not complete, as per clause

7.1 BMW AG has to determine FormelAN the possibility within a reasonable period for preparation. If this time has passed, FormelAN need to procure this files by himself, but BMW AG charge this costing.

6.9. Der AG wird den Mitarbeitern des AN entsprechend deren Aufgaben/Funktionen Zutrittsberechtigungen inkl. aller erforderlicher Schlüssel zu Geb?udeteilen, Fl?chen, Anlagen oder sonstigen Einrichtungen gew?h-ren. Der AG beh?lt sich vor, bestimmte Bereiche nur unter

Aufsicht betreten zu lassen. Die Leistungserbrin-gung in diesen Bereichen ist vorab zeitlich mit dem AG abzustimmen.

6.9 BMW has to organize all proper authority of entry right to colleagues from Formel AN, including necessary keys for Building units, Places, Equipments or other facilities. BMW AG reserves the right to keep some places under supervising, any entry need permission from BMW in advance.

6.10. Der AG verpflichtet sich, alle erforderlichen Ma?nah-men zu treffen, Dokumente zu

übergeben, Einweisun-gen durchzuführen, etc. um den AN zu bef?higen, den im Rahmen der Leistungserbringung übertragenen Aufgaben und Pflichten nachzukommen. Der AG infor-miert den AN über besondere betriebliche Belange und weist ihn in betriebliche Sicherheitsprozesse und -einrichtungen ein.

6.10 BMW AG is obliged to clarify all necessary Principals, to sumit all documents, to give all instructions etc, and let Formel AN to be able to take over their Task and Obligation in the scope of Performance. 6.11. Die Vertragsparteien verpflichten sich zur konstruktiven Zusammenarbeit und kontinuierlichen Verbesserung der Leistungsbeziehungen. Im Sinne einer partner-schaftlichen Zusammenarbeit wird die jeweils andere Partei ausreichend und rechtzeitig über wichtige

Vor-kommnisse informiert bzw. werden wichtige Themen angesprochen. Ein offener Austausch und effektive Kommunikationswege werden angestrebt. Ansprech-partner und Kommunikationswege werden gemeinsam beschlossen und gesondert festgelegt. Dieses

Kom-munikationskonzept wird dem Vertrag als Anlage 10 beigefügt.

6.11 All contract parties have the obligations to ensure constructive cooperation and continued improvement of performance relations. It has sense that cooperation between each partners are enough, the important information and suggestion exchange on time, also important motives will be discussed. We set up one open way to exchange minds and efficient communication.

Executives and communication channel are cross and binding connected. This communication concept will be stated in Contract and enclosed in Attachment 10.

§ 7 Pflichten des AN /obligation of Formel AN

7.1. Der AN weist den AG unverzüglich darauf hin, wenn Unterlagen oder Informationen, die zur Erfüllung seiner Pflichten aus diesem Vertrag erforderlich sind, unvoll-st?ndig sind oder fehlen. Dabei hat der AN insbeson-dere die Kosten der Ermittlung bzw. Beschaffung der Informationen oder Unterlagen anzugeben.

7.1 Formel AN shall give BMW AG the confirmation immediately, when he found the documents or Information not complete or missed, which are required for fulfilling this project from the Contract. Herewith FormelAN shall take this extra expense for acquisition or procurement of relevant information and documents.

7.2. Behinderung der Leistung: Obstruction of the Performance

7.2.1. Wird der AN in der ordnungsgem??en Ausführung der Leistung behindert, so hat er die Behinderung sowie die ausgefallene Leistung dem AG unverzüglich in allen

F?llen – auch in offenkundigen – schriftlich anzuzeigen. Das gilt auch bei Wegfall der vom AG zur Verfügung gestellten Arbeitsvoraussetzungen oder Arbeitshilfsmit-tel. Die Anzeige kann in sachlich begründeten Aus-nahmef?llen nachtr?glich erfolgen; in diesem Fall ist die Schriftform unverzüglich nachzuholen.

7.2.1 When Formel AN were obstructed during proper implementation of performance,

in all cases ,he has to inform BMW AG about the obstruction as well as disable Service without any delay— apparent-- in written form. This issue is also suitable for working condition and work tools which provided by BMW AG. This indication can be submitted as exceptional later up to case, but the writing has to pass immediately without any delay.

7.2.2. Unterl?sst der AN die Anzeige, so hat er nur dann An-spruch auf Berücksichtigung der hindernden Umst?n-de, wenn dem AG offenkundig die Tatsache und deren hindernde Wirkung bekannt waren.

7.2.2 If Formel AN is failed to submit this indication properly, then he has to take the responsibility for the obstructed situation, even if BMW AG has been informed about this real status and known the result obviously.

7.2.3. Leistungsausfall aufgrund einer Behinderung hat der AN bei erfolgsbezogenen T?tigkeiten nachzuholen, nicht jedoch bei wiederkehrenden Leistungen. Im Zweifelsfall steht dem AG das Bestimmungsrecht zu, ob der AN die ausgefallene Leistung nachzuholen hat.

7.2.3 If this is the failure of performance caused from Obtruction, so need FormelAN to catch up, but not return to do same works. Falls any doubts, BMW AG has the Right to determine as if FormelAN has catch up the passed procedure.

7.2.4. Arbeitskr?fte, die infolge der Behinderung ihre ur-sprünglichen Aufgaben nicht wahrnehmen k?nnen, sind vorrangig mit der Erledigung anderer beauftragter, eventuell vom AN vorzuziehender Leistungen zu be-sch?ftigen.

7.2.5. Für die Vergütung gilt: apply to compensation:

- Das Gleiche gilt, wenn keine der beiden Parteien die Behinderung zu vertreten hat - jedoch mit der Ma?gabe, dass sich der AN dasjenige anrechnen lassen muss, das er in Folge des

Leistungsausfalls an Aufwendungen erspart oder durch anderweitige Verwendung seiner Ressourcen erwirbt oder zu erwerben b?swillig unterl?sst.

7.3. Kostenausl?sendeMa?nahmen:Cost released Principals

7.3.1. Der AN ist grunds?tzlich verpflichtet, keine zus?tzli-chen Kosten ausl?senden Ma?nahmen au?erhalb der Vergütung zu Lasten des AG ohne dessen vorherige schriftliche Zustimmung zu veranlassen.

7.3.1 Formel AN is primarily oblige, only give BMW AG compensation against loss as per Not Submitting previous writing report, other extra cost released measures not included.

7.3.2. Haben AG und AN ein Budget für kostenausl?sende Ma?nahmen vereinbart, so hat der AN unter Berück-sichtigung der Interessen des AG selbst über diese Ma?nahmen zu entscheiden und sie durchzuführen. Liegen die zu erwartenden Kosten über dem Budget oder dem Limit für Einzelma?nahmen, so ist für jede Einzelma?nahme die vorherige Freigabe des AG erfor-derlich.

7.3.2 If BMW AG and AN have agreed one budget against cost released measure, so Formel AN need to consider interest of BMW AG and decide to proceed this measure by himself.

If expected cost is more than budget o r limited for single case, so it’s required for the earlier release to BMW AG by each single case.

7.3.3. Bei Gefahr im Verzug kann der AN kostenausl?sende Ma?nahmen ohne Rücksicht auf die beiden vorstehen-den Ziffern veranlassen. Es gelten hierfür die Grund-s?tze der Gesch?ftsführung ohne Auftrag jedoch mit der Ma?gabe, dass sich die Rechtsfolgen ausschlie?-lich nach diesem Vertrag richten. Das bedeutet insbe-sondere, dass für die Haftung und die Vergütung die entsprechenden Paragraphen dieses Vertrages und auch die Regelungen des Auftrags-LVs Anwendung finden. Der AN hat dem AG über solche Ma?nahmen unverzüglich schriftlich unter Angabe der Kostenpositi-onen und unter Prüfung der sachlichen und rechneri-schen Richtigkeit zu berichten. Hat der AN die Gefahr verursacht, so tr?gt er die Kosten der erforderlichen Ma?nahmen alleine.

7.3.3 If imminent danger exist, FormelAN can take cost released action and no need to consider previous figures. Es is also valid like basic business proceeding without any Contract but has stipulations, this refer to legal consequence except stipulation from agreement. This means in particular that found for the liability and compensation in the relevant paragraphs of this Agreement and the provisions of the Task LVs application. The FormelAN shall report to the BMW AG immediately of such measures in writing, stating the cost items and check the factual accuracy. If the FormelAN has caused the danger, he shall bear the costs of action alone.

7.4. Der AN hat dem AG laufend über besondere Ereignis-se zu informieren, insbesondere über Sch?den, Unf?l-le, Hausbesetzungen, kriminelle Ereignisse, Br?nde, Vandalismus und Attentatsdrohungen. Informiert der AN den AG nicht rechtzeitig über Gew?hrleistungsf?lle aufgrund der T?tigkeit Dritter und kann der AG deshalb Gew?hrleistungsansprüche nicht rechtzeitig durchsetz-ten, so haftet der AN für den Ausfall.

7.4 Formel AN has to inform the BMW AG about special events, especially regarding compensation for accidents, squatting, criminal events, fires, vandalism, assassination attempt. Formel AN informed the BMW AG not in due time about warranty action due to the activities of third parties, and therefore BMW AG can not take reaction in time by warranty, so the Formel AN is responsible for the loss.

7.5. Der AN hat Vorgaben des AG bei beh?rdlichen Kon-trollen strikt zu beachten.

7.5 FormelAN must pay more attention to stipulations of BMW AG under control of authority.

7.6. Soweit für bestimmte Leistungen des AN Bef?higungs-nachweise, Zulassungen und/oder beh?rdliche Gestat-tungen erforderlich sind, sind diese vom AN regelm?-?ig zu aktualisieren und dem AG auf Anforderung vor-zulegen.

7.6 If it’s requested for special Performance from FormelAN to show certificate, permission or official allowance, Formel AN shall present this documents to BMW AG.

7.7. Der AN führt im Auftrag des AG alle im Rahmen seiner Beauftragung notwendigen koordinierenden und ope-rativen Betreiber- und Verkehrssicherungsaufgaben durch und dokumentiert dies entsprechend. Einzelhei-ten sindimAuftrags-LV Anlage 2 und 3geregelt.

7.7 According to Contract with BMW AG, FormelAN procure all necessary works on the frame of his coordinated operation and traffic safety control and make documentation accordingly. Details are under controlled in Task LV of Attachment 2 and 3.

7.8. Der AN erstellt die gesamte Betriebsdokumentation für den Leistungsumfang betreffend Struktur, Inhalt, De-taillierungsgrad und Turnus nach den Vorgaben des AG. Er erfüllt dabei insbesondere die IT-Systemvorgaben des AG Anlage 11.

7.8 FormelAN creates the entire documentation for the scope of services relating to structure, content, detail and the regular period as specified by BMW AG. It meets in particular the IT system requirements of Attachment 11.

7.9. Der AN verpflichtet sich, alle seine nach diesem Ver-trag geschuldeten T?tigkeiten und Arbeits-/Prozessabl?ufe in einem Projekthandbuch in Abstim-mung mit dem AG zu dokumentieren und fortlaufend zu aktualisieren.

7.9 Formel AN is obliged to make documentation about his task and work flowing chart in a project manual in coordination with BMW AG and keep to update continuously
