FIDIC was founded in 1913 by three national associations of consulting engineers within Europe. The objectives of forming the federation were to promote in common the professional interests of the member associations and to disseminate information of interest to members of its component national associations.

FOREWORD 前言

These Conditions of Contract have been prepared by the INTERNATIONAL FEDERATION OF CONSULTING ENGINEERS （FIDIC）and are recommended for engineering and building work of relatively small capital value. However, depending on the type of work and the circumstances, the Conditions may be suitable for contracts of greater value. They are considered most likely to be suitable for fairly simple or repetitive work or work short duration without the need for specialist sub-subtract.

The main aim has been to produce a straightforward flexible document which includes all essential commercial provisions and which may be used for all types of engineering and building work with a variety of administrative arrangements. Under the usual arrangements for this type of contract, the Contractor constructs the Works in accordance with design provided by the Employer or by his representative (if any). However, this form may also be suitable for contracts which include, or wholly comprise, contractor-designed civil, mechanical and/or electrical works.

In addition, the Employer has a choice of valuation methods. Furthermore, although there is no reference to an impartial Engineer, the Employer may appoint an independent Engineer to act impartially, should he wish to do so.

The form is recommended for general use, though modifications may be required in some jurisdictions. FIDIC considers the official and authentic text to the version in the English language.

The intention is that all necessary information should be provided in the Appendix to the Agreement, the latter incorporating the tenderer’s offer and its acceptance in one simple document. The General Conditions are expected to cover the majority of contracts. Nevertheless, users will be able to introduce Particular Conditions if they wish, to cater for special cases or circumstances. The General Conditions and the Particular Conditions will together comprise the conditions governing the rights and obligations of the parties.

To assist in the preparation of tender documents using these Conditions, Notes for Guidance are included. These Notes will not become one of the documents forming the Contract. Finally, applicable Rules for Adjudication are also included.

Party B shall complete the tasks agreed on schedule and guarantee the quality of work. 4. Party B shall respect Chinas religious policy, and shall not conduct religious activities incompatible with the status of a teacher. 5. Party B shall respect the Chinese peoples moral standards and customs. V. Revision, Cancellation and Termination of the Contract 1. Both Parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent. 2. The contract can be revised, cancelled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed. 3. Party A has the right to cancel the contract with written notice to Party B under the following conditions. (1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out. (2) According to the doctors diagnosis, Party B cannot resume normal work after 30 days sick leave. 4. Party B has the right to cancel the contract with a written notice to party A under the following conditions:

新编FIDIC合同条件应用中的几个实践性问题 FIDIC合同条件它虽然不是法律,也不是法规,但它是全世界公认的一种国际惯例。它伴随着世纪的进程经历了从产生到发展、不断完善的过程。FIDIC合同条件第1版于1957年、第2版于1963年、第3版于1977年、1988年及1992年作了两次修改,习惯对1988年版称为第4版。1999年国际工程师联合会根据多年来在实践中取得的经验以及专家、学者的建议与意见,在继承以往四版优点的基础上进行重新编写(下称新编FIDC合同条件)。中国工程咨询协会根据菲迪克授权书进行编译、出版,机械工业出版社于2002年5月首次印刷FIDIC合同条件第1版(中、英文对照)。 新编FIDIC合同一套四本:《施工合同条件》、《生产设备和设计—施工合同条件》、《设计采购施工(EPC)/交钥匙工程合同条件》与《简明合同格式》。此外FIDIC组织为了便于雇主选择投标人、招标、评标,出版了《招标程序》,由此形成一个完整的体系。笔者结合从事FIDIC合同条件法律服务的实践,在此提出新编FIDIC合同条件在中国应(适)用中的几个实践性问题,赐教于同仁。 一、新编FIDIC合同条件的应用选择 (一)新编的FIDIC合同条件与旧版本的应用选择 新编《施工合同条件》,用于由雇主或其他代表工程师设计的建筑或工程项目。由承包商按照雇主提出的设计进行工程施工,但该工程可以包含由承包商设计的土木、机械。电气和构筑物的某些部分。《施工合同条件》由通用条件、专用条件编写指南投标函、合同协议书和争端裁决协议书格式构成。通用条件与专用条件各20条。通用条件20条共158款(款下所设的项略),另附录争端裁决协议书一般条件。通用20条款目录分别是:1、一般规定〔1.1定义,1.2解释,1.3通信交 流,1.4法律和语言,1.5文件优先次序,1.6合同协议书, 1.7权益转让,1.8文件的照管和提供,1.9延误的图纸或指示,1.10雇主使用承包商文件, 1.11承包商使用雇主文件,1.12保密事项,1.13遵守法律,1.14共同的和各自的责任〕;2、雇主

新编FIDIC合同条件应用中的几个实践性问题 冯松林 FIDIC是法语国际咨询工程师联合会法文的缩写。该组织是由英国、法国、比利时等三个欧洲境内咨询工程师协会于1913年创立，组建联合会的目的是共同促进成员协会的职业利益，向其他成员协会传播有益信息。1949年后英、美、澳大利亚、加拿大等国相继加入，现有60多个成员国，下设欧共体分会，北欧成员分会，亚太地区分会，非洲成员分会。总部设于瑞士的洛桑。1996年，中国工程咨询协会正式加入菲迪克(FIDIC)组织。 FIDIC合同条件虽然不是法律，但它是全世界公认的壹种国际惯例。近百年来它经历了从产生到发展、不断完善的过程:FIDIC合同条件第1版于1957年、第2版于1963年、第3版于1977年、第四版于1988年(1992年又作了修改)，习惯对1988年版称为第4版。1999年国际工程师联合会根据多年来于实践中取得的经验以及专家、学者的建议和意见，于继承以往四版优点的基础上进行重新编写（下称新编FIDC合同条件）。中国工程咨询协会根据菲迪克授权书进行编译、出版，机械工业出版社于2002年5月首次印刷FIDIC 合同条件第1版（中、英文对照）。 新编FIDIC合同文本壹套四册：《施工合同条件》、《生产设备和设计—施工合同条件》、《设计采购施工（EPC）/交钥匙工程合同条件》和《简明合同格式》。此外FIDIC组织为了便于雇主选择投标人、招标、评标，出版了《招标程序》，由此形成壹个完整的体系。 笔者结合从事FIDIC合同条件法律服务的实践，于此提出新编FIDIC合同条件于中国应（适）用中的几个实践性问题，赐教于同仁。 壹、应用新编FIDIC合同条件的选择 （壹）新编和旧版的FIDIC合同条件的选择 新编FIDIC格式合同之壹是《施工合同条件》。《施工合同条件》用于由雇主或其他代表工程师设计的建筑或工程项目。由承包商按照雇主提出的设计进行工程施工，但该工程能够包含由承包商设计的土木、机械、电气和构筑物的某些部分。《施工合同条件》由通用条件、专用条件编写指南投标函、合同协议书和争端裁决协议书格式构成。通用条件20条（共158款，款及下所设的项略）分别是：1、壹般规定；2、雇主；3、工程师；4、承包商；5、指定的分包商；6、员工；7、生产设备、材料和工艺；8、开工、延误和暂停；9、竣工试验；10、雇主的接收；11、缺陷责任；12、测量和估价；13、变更和调整；14、合同价格和付款； 15、由雇主终止；16、由承包商暂停和终止；17、风险和职责；18、保险；19、不可抗力；20、索赔、争端和仲裁。附录,争端裁决协议书壹般条件。《施工合同条件》专用条件也分为20条，是为通用条件的编写人给出备选条款，是对通用条件的修改和补充。此外专用条件附件有专用的公司担保函，投标担保函，履约担保函——担保保证，预付款保函，保留金保函，雇主支付保函的范例格式。《施工合同条件》第三部分是投标函，合同协议书和争端裁决协议书格式。和新编相对应的是1988年编译的旧版FIDIC《土木工程施工合同条件应用指南》（即第四版红皮书），红皮书第壹部分由通用条件72条183款和投标程序、可能使用条款、投标书、附件协议书组成，第二部分专用条件70条组成。当事人于应用FIDIC合同条件时应当将新、旧俩个版本相区别，选择使用新编的《施工合同条件》。 新编《生产设备和设计—施工合同条件》用于电气或机械设备借贷和建筑或工程的设计和施工。通常情况是由承包商按照雇主要求，设计和提供生产设备或其他工程，能够包括土木、机械、电气和建筑物的任何组合。该合同文件也是由通用条件，专用条件和投标函、合同协议书和争端裁决协议书格式三部分组成，其通用条款共20条167款。除其第5条和第12条和《施工合同条件》不同外，其他通用条款相同。《生产设备和
