为规范农用地承包行为,维护农用地承包双方当事人的合法权益,促进农业发展和农村社会稳定,根据《中华人民共和国农村土地承包法》、《中华人民共和国土地管理法》、《中华人民共和国合同法》等有关法规,甲乙双方本着平等、自愿、有偿的原则,就承包相关的事项达成协议并签订本合同,以供双方共同遵守。

第一条概况

1、乙方通过公平、公正、公开的方式竞投,投得土名为南涌村立白厂区边51.263亩鱼塘,该鱼塘坐落在南涌村立白厂区边,面积共51.263亩(见附件一:鱼塘图,红线内为乙方承包鱼塘的面积,以下简称“该鱼塘”)。

2、乙方对甲方发包的鱼塘权属等情况已作充分了解并同意承包。

3、承包期内,乙方承诺按国家有关法律、法规和村规民约等有关规定使用该鱼塘,主要用于水产养殖生产经营活动。未经甲方书面同意,乙方不得改作其他生产经营活动,否则甲方有权解除本合同、收回该鱼塘,合同履约保证金归甲方所有,并有权追究乙方的违约责任及经济赔偿责任。

第二条承包期限及交付

1、该鱼塘承包期限为10年。从2019年1月1日至2028年12月31日终止。

2、甲方于2019年1月1日按现状将该鱼塘交付给乙方使用,不负责清场。

第三条承包款及支付

1、合同履约保证金

在签订本合同当天,乙方须向甲方缴纳合同履约保证金为128157元(大写:壹拾贰万捌仟壹佰伍拾柒元)。在竞得人即乙方竞得资产后,从交易保证金150000元(大写:壹拾伍万元正)中自动转化为合同履行保证金,余额退回给乙方。在承包期满后,如乙方无违约,甲方待乙方付清承包款项及各项杂费并完好移交鱼塘后20日内,将合同履约保证金全额无息退回给乙方;如乙方中途退包或违反本合同有关条款的,视作乙方违约处理,合同履约保证金归甲方所有,甲方有权单方解除合同,收回该鱼塘,并有权追究乙方的违约责任及经济赔偿责任;如甲方中途违反约定收回该鱼塘,甲方应向乙方双倍退还保证金,不再另行承担其他违约责任及经济赔偿责任。

2、承包款标准:

承包款采用多期有递增方式计算,每三年在上年基数上递增10%。承包款单价为:人民币∕亩∕年,承包面积为51.263亩。乙方2019年至2021年每年应交纳承包款为:人民币元(大写:)。2022年至2024年每年应交纳承包款为:人民币元(大写:)。2025年至2027年每年应交纳承包款为:人民币元(大写:)。2028年应交纳承包款为:人民币元(大写:)。

承包款不含税、费,如甲方(或乙方需要)开具发票收取租金时,其所产生税金由乙方支付。

3、承包款支付方式

承包款支付方式采用分期付款方式:

承包款分十期支付,每年为一期,签订合同时支付第一期承包款,乙方于第二期开始,每期的前25日交付当期承包款(即每年12月6日前交付下一年承包款,原则上先交钱后耕塘)。

4、在承包期内,承包款必须按规定期限缴交,凡拖欠承包款者,每天按拖欠总金额的4‰计算滞纳金,直至应付款付清之日止;如乙方逾期25天未付清承包款,甲方有权解除本合同、收回该鱼塘,保证金归甲方所有,同时承包鱼塘范围内的种植(养殖)物、附着物等物资财产均归甲方所有,甲方有权追究乙方违约责任。

第四条甲乙双方的权力和义务

(一)甲方的权利和义务

1、对承包地开发利用进行监督,督促乙方按照本合同约定的用途合理利用;

2、在合同有效期内,甲方不得违反合同约定提高承包款;

3、由乙方自主经营,自负盈亏,甲方不侵犯乙方的合法权益。

(二)乙方的权利和义务

1、按照合同约定的用途和期限,有权依法利用和经营所承包的鱼塘,享有承包地的收益权和自主经营权。

2、乙方可在承包地建设与约定用途有关的生产、生活设施,所搭建的建筑物必须是临时建筑,不得以水泥混凝土结构进行构建,并且符合相应的消防条件;搭建简易棚舍设施的,要经过甲方书面同意并报镇相关部门审批统一规划后方能搭建,搭建后的棚舍不得用作房屋出租或经营性活动,其设施仅作农业用途,不能改变土地原貌;乙方应在承包合同期满当天将该鱼塘按不劣于原状完好交还给甲方,并且负责清除一切地上附着物和恢复原来的地形地貌。逾期未处理的,视为乙方自行放弃,甲方有权进行如下处理:(1)拆除,拆除费有权向乙方追讨;(2)一切鱼塘上产品及附着物无偿归甲方所有。乙方在承包期内所建下的固定水利等生产设施,不能废除,承包期满无偿归甲方所有。

3、乙方仅享有鱼塘的承包经营权,乙方不得以鱼塘的所有权抵偿债务或设定担保。甲方有权安排任何时间使用其中的水利设施排灌,乙方无权干涉,但须提前三天通知乙方,若遇紧急情况甲方可即时通知或事后再通知乙方。道路、排灌、电源要服从甲方的大局安排。乙方一切用电、用水要自行申请报装,用电要按供电管理部门的要求自费装置合格的用电设备设施,安装与维护及有关费用和因用电发生安全事故等均由乙方承担和解决,与甲方无关。在承包期内严禁采用任何方式进行养殖鱼塘清淤外排,否则造成水土流失、河涌淤塞、环境污染等,一切责任由乙方负责。鱼塘泥土资源属甲方所有,乙方不能利用任何方式买卖和转移泥土。乙方有责任修整好所承包的鱼塘塘基,任何原因造成鱼塘塘基损坏的,均由乙方自行修复,甲方不负任何责任。

4、甲方对发包的鱼塘拥有所有权,乙方只有承包经营权,不得擅自出租、转包、买卖(转让)、闲置、荒芜和进行破坏性、掠夺性经营。在承包期内,承包鱼塘主要用作水产养殖用途,乙方如要改变该塘性质、用途及规格、原状,要书

面向甲方申请,并须经上级主管部门审批方可实施,且用途也只可由养殖改变为种植,不能回填沙、石、生活垃圾、建筑废料、工业垃圾等使鱼塘失去耕作能力的材料,否则按违约处理,甲方有权解除合同及收回该鱼塘,合同履约保证金归甲方所有,并有权追究乙方违约责任及经济赔偿责任。在合同期内,村集体需要搞农田基本建设(包括改造围内水利、修改道路等),乙方不得阻止,甲方不作任何赔偿。乙方不得在高低压电线路下搭建棚类建筑物。

5、承包期内,禁止在承包鱼塘范围内养殖禽畜。

6、承包期间一切生产费用和自然灾害造成的损失及一切事故责任由乙方自行负责,每年向甲方支付20元/亩生产费用(包含排灌设备维修,开梪人工、抽水人工及电费、清理主河、老鼠谷等费用分摊),于上交每期承包款时一并交付。如不按时缴交此生产费用,视同乙方违约,甲方有权单方解除合同,没收履约保证金并追究乙方违约责任。

第五条税费规费缴交

在承包期内,乙方应按国家法律、法规、政策以及当地各级行政、执法等有关部门的规定依法经营,和依法缴纳税费规费,而不论该种税、费依照法律法规政策规定是否由乙方承担。乙方对外经营所产生的债权债务均由乙方负责承担。乙方自行承担法律责任、经营风险和损益。

第六条转包

在合同期内,乙方如需转包承包鱼塘给第三方的,须经甲方书面同意,乙方在征得甲方同意转包时,乙方应向甲方一次性支付手续费6000元,承接方要承担乙方原合同条款,甲、乙双方及第三方须另行签订转包合同。否则作违约处理,甲方有权解除合同及收回承包鱼塘,合同履约保证金归甲方所有,并有权追究乙方违约责任及经济赔偿责任。

第七条征用

在承包期内,如国家、集体征用该农用地,乙方必须无条件服从,承包合同自动终止。乙方必须在一个月内做好清场及完好交还承包鱼塘的工作。该塘的青苗及地上附着物补偿乙方占总额的70%,甲方占30%,土地补偿属甲方。

第八条意向续包

承包年限届满,甲方收回该鱼塘的使用权,并有权将该鱼塘重新进行竞投交易。乙方如有意向续包的,必须在合同期满前90天内向甲方提交意向续包申请书,并重新参与投标,在同等条件下,乙方享有优先承包的权利。

第九条合同变更、解除和终止

(一)本合同效力不受甲乙双方法人代表变动影响,也不因集体经济组织的分立或合并而变更或解除。任何一方不得随意终止合同。因不可抗力而不能履行合同的除外。

(二)经双方协商一致,并达成书面补充协议,可对本合同内容进行变更。书面补充协议经本集体经济组织成员大会或成员代表会议表决通过并公示方能生效。

(三)合同期内,乙方有下列行为之一的,甲方有权单方面解除合同。合同履约保证金归甲方所有,并收回该鱼塘,鱼塘上的产品及地上附着物无偿归甲方所有,甲方有权追究乙方的违约责任及经济赔偿责任:

1、未经甲方书面同意,转包、转租、转借承包鱼塘的;

2、损坏承包鱼塘,造成严重后果的,在甲方提出的合理期限内仍未修复的;

3、未经甲方书面同意,改变本合同约定承包鱼塘用途的;

(四)合同期内,如因国家、集体征用该土地的,本合同自动终止,补偿款按本合同第七条规定分配,甲乙双方均不负违约责任。

(五)在承包期内,如因法律规定的不可抗力导致使本合同难以履行的,本合同可以变更或解除,双方互不承担违约责任。遭受不可抗力事件的一方应自行在条件允许下采取一切合理措施以减少这一事件造成的损失。

第十条合同纠纷

本合同履行中如发生纠纷,由争议双方协商解决;协商不成,由镇相关管理部门调解;协商、调解不成的,任何一方均可向甲方所在地的人民法院提起诉讼。

第十一条其他约定

双方约定的其他事项:

(一)合同期内,乙方有下列行为之一的,视乙方自愿解除合同。合同履约保证金归甲方所有,并收回承包鱼塘,鱼塘上的产品及地上附着物无偿归甲方所有:

1、逾期未交纳按约定应当由乙方交纳的各项费用;

2、拖欠承包款25天以上(含本数);

3、连续二年闲置丢荒的。

(二)因一方违约,导致本合同解除,守约方为追讨损失所支出的费用(包括但不限于律师费、诉讼费、保全费等)应由违约方承担。

第十二条合同效力

本合同一式三份,具有同等法律效力,双方签字(盖章)且乙方支付合同履约保证金后生效;甲方、乙方双方各执一份,镇公共资源交易站一份。

第十三条关于文书的送达

任何一方向对方发出的通知必须以书面形式进行。如直接送达的,收件方应为本合同的双方当事人,收件方是公司的还应加盖公章;无法直接送达的,则按本合同注明的通信地址寄发通知,任何一方在通信地址变更时均有义务书面通知对方,否则,通知不达的责任由地址变更方自行承担。如乙方拒收邮寄通知或因乙方原因无法送达,甲方可于该鱼塘外和甲方村委公告栏中张贴通知,即视为送达。

第十四条补充协议规定

本合同未尽事宜,经甲乙双方协商一致可签订补充协议。补充协议与本合同具有同等法律效力。补充协议经本集体经济组织成员大会或成员代表会议表决通过并公示方能生效。

本合同条款内容与招标公告内容一致,如有抵触,以招标公告内容为准。
