商务合同属于法律性公文，所以英译时，有些词语要用公文语词语、

特别是酌情使用英语惯用的一套公文语副词，就会起到使译文结构严谨、逻辑严密、言简意赅的作用。

一. 公文副词

但是从一些合同的英文译本中发现，这种公文语副同常被普通词

语所代替，从而影响到译文的质量。

实际上，这种公文语惯用副词为数并不多，而已构词简单易记。常用

的这类副词是由hers theres where等副词分别加上after、by、in、of、on、to、under、upon、with等副词，构成一体化形式的公文语

副词。例如：

从此以后、今后：hereafter;

化匕后、以后:thereafter;

在其上:thereonthereupon

在其下:thereunder;

对于这个:hereto;

对于那个：whereto;

在上文:hereinabovehereinbefore

在下文：hereinafterhereinbelow;

二、谨慎选用极易混淆的词语

英译商务合同时，常常由于选词不当而导致词不达意或者意思模

棱两可，有时甚至表达的是完全不同的含义。因此了解与掌握极易混

淆的词语的区别是极为重要的，是提高英译质量的关键因素之一，现把常用且易混淆的七对词语，用典型实例论述如下。

2.1. shipping advice 与shipping instructions

shipping advice是“装运通知”，是由出口商（卖主）发给进口

商（买主）的。然而shipping instructions则是“装运须知”，是进口商（买主）发给出口商（卖主）的。另外要注意区分vendor （卖主）与vendee （买主），consignor （发货人）与consignee （收货人）。上述这三对词语在英译时、极易发生笔误。

2.2. abide by 与comply with

abide by与comply with都有“遵守”的意思.但是当主语是“人” 时，英译“遵守”须用abide by。当主语是非人称时，则用comply with 英译“遵守”。

例3:双方都应遵守/双方的一切活动都应遵守合同规定。

商务英语合同的翻译准则及技巧 奈达的功能对等翻译标准强调的是内容和文体风格上达到最切近的自然对等，它在合同翻译中有较大的直接指导意义。笔者认为，为达到国际商务英语合同翻译时的功能对等，应坚持以下两个准则。 1.准确严谨 由于国际商务合同的专业性和兼容性越来越强，因此，合同的内容也就日趋精确和完备。这就要求译者在翻译时应把准确严谨作为首要标准，尤其是合同中的法律术语和关键词语的翻译更应予以特别重视，仅仅忠实原文远远不够，而应严格贴近合同所涉及的专业性内容。以offer一词为例，将它翻译为提供、提议是正确的，但在国际商务合同种，offer一般只能译为要约、报盘。此外，为了避免产生歧义，有些词语的翻译必须保持同一种译法，尤其是合同中的专业术语和关键词语都有着严格的法律涵义，翻译时一定要透彻理解原文的内容要求，准确完整地传达合同文件的精神实质。以e_clusive为例，e_clusive territory应译为独占区域，表示许可方不得再把同样内容的技术许可协议授予该地域内的任何第三方。但是，e_clusive contract则译为专销合同，表示制造商与转卖商之间签订的专销协议，规定转卖商不得同时经销竞争对手的产品。 2.规范通顺

所谓规范通顺，就是把理解了的东西，用规范通顺的、合乎合同语言要求的文字(中文)表达出来。因此，要使合同语言规范通顺，译者就要特别注意合同的词语运用规范，符合合同文体中约定俗成的含义。例如，将documentary bill at sight译为即期付有单据的票据，虽然表达的意思符合原文要求，但概念并不清晰，因为票据本身的涵义是广义的，在国际商务合同中的票据主要指汇票，因此，应译为跟单汇票。此外，国际商务合同的译文不仅要符合合同语言的要求和规律，还应做到通顺，着重体现在条理清晰上。国际商务合同的条款往往比较繁复，翻译时应首先弄清全文的条例，对各条款间的制约关系和逻辑关系须仔细琢磨，注意译文语言的语句结构，不拘泥于原文的词句结构和句法框框的限制。 国际商务英语合同属于应用翻译，以传递信息为主要目的。因此，根据奈达的功能对等理论，在翻译信息型文本的商务英语合同时，应采用的基本技巧是归化，主要表现在功能性归化和行业性归化两个方面。 1.功能性归化 国际商务英语合同自身的文体特征和鲜明的告知与规定功能，决定了这类文本翻译的特殊要求和目的，即：遣词用字、行文布局必须符合译文的形式和规范，在翻译技巧上毫无例外地一律采用归化的方法。因而，它的翻译不可能也无必要遵循原文的语言形式，原文仅仅提供信息，语言表达必须顺从译文形式，追
