This Non-Disclosure Agreement (the "") is made and entered

into as of the later of the two signature dates below by and

between . a Delware corporation, and .

IN CONSIDERATION OF THE MUTUAL PROMISES AND COVENANTS CONTAINED IN THIS AGREEMENT AND THE MUTUAL DISCLOSURE OF CONFIDENTIAL INFORMATION, THE PARTIES HERETO AGREE AS FOLLOWS:

1.Definition of Confidential Information and Exclusions.

(a)"Confidential Information" means nonpublic information that a party to this Agreement (“Disclosing Party”) designates as being confidential to the party that receives such information (“Receiving Party”) or which,under the circumstances surrounding disclosure ought to be treated as confidential by the Receiving Party. "Confidential Information" includes,without limitation, information in tangible or intangible form relating to and/or including all business, technical, and financial information (including, without limitation, specific customer requirements, customer and potential customer lists, marketing and promotional information,

trade secret, copyright, and trademark information, and information concerning a party’s employees, agents, divisions, practices,

policies, operations, and pricing information), as well as information received from others that Disclosing Party is obligated to treat as confidential. Except as otherwise indicated in this Agreement, the term “Disclosing Party” also includes all Affiliates of the Disclosing Party and, except as otherwise indicated, the term “Receiving Party” also

includes all Affiliates of the Receiving Party. An “Affiliate” means any person, partnership, joint venture, corporation or other form of enterprise, domestic or foreign, including but not limited to subsidiaries, that directly or indirectly, control, are controlled by,or are under common control with a party.

(b)Confidential Information shall not include any information, however designated, that: (i) is or subsequently becomes publicly available without Receiving Party's breach of any obligation owed Disclosing Party; (ii) became known to Receiving Party prior to Disclosing Party’s disclosure of such information to Receiving Party pursuant to the terms of this Agreement; (iii) became known to Receiving Party from a source other than Disclosing Party other than by the breach of an obligation of confidentiality owed to Disclosing Party; or (iv) is independently developed by Receiving Party.

2.Obligations Regarding Confidential Information.

(a)Receiving Party shall:

Refrain from disclosing any Confidential Information of the Disclosing Party to third parties for five (5) years following the date that Disclosing Party first discloses such Confidential Information to Receiving Party, except as expressly provided in Sections 2(b) and 2(c) of this Agreement;

Take reasonable security precautions, at least as great as the precautions it takes to protect its own confidential information, but no less than

reasonable care, to keep confidential the Confidential Information of the Disclosing Party;

Refrain from disclosing, reproducing, summarizing and/or distributing Confidential Information of the Disclosing Party except in pursuance of Receiving Party's business relationship with Disclosing Party, and only as otherwise provided hereunder; and

Refrain from reverse engineering, decompiling or disassembling any software code and/or pre-release hardware devices disclosed by Disclosing Party to Receiving Party under the terms of this Agreement.

(b)Receiving Party may disclose Confidential Information of Disclosing Party in accordance with a judicial or other governmental order, provided that Receiving Party either (i) gives the undersigned Disclosing Party reasonable written notice prior to such disclosure to allow Disclosing Party a reasonable opportunity to seek a protective order or equivalent,

or (ii) obtains written assurance from the applicable judicial or governmental entity that it will afford the Confidential Information the highest level of protection afforded under applicable law or regulation.

(c)The undersigned Receiving Party may disclose Confidential Information only to Receiving Party's employees and consultants (including legal,accounting, or other professional advisors) on a need-to-know basis. The undersigned Receiving Party will have executed or shall execute appropriate written agreements with its employees and such consultants sufficient to enable it to comply with all the provisions of this Agreement, and shall

be responsible for any breach of the confidentiality restrictions herein by such employees and consultants.

(d) Receiving Party shall notify the undersigned Disclosing Party immediately upon discovery of any unauthorized use or disclosure of Confidential Information or any other breach of this Agreement by Receiving Party and its employees and consultants, and will cooperate with Disclosing Party in every reasonable way to help Disclosing Party regain possession of the Confidential Information and prevent its further unauthorized use or disclosure.

(e)Receiving Party shall, at Disclosing Party’s request, return all originals, copies, reproductions and summaries of Confidential Information and all other tangible materials and devices provided to the Receiving Party as Confidential Information, or at Disclosing Party's option, certify destruction of the same.

3.Remedies.

The parties acknowledge that monetary damages may not be a sufficient remedy for unauthorized disclosure of Confidential Information and that Disclosing Party shall be entitled, without waiving any other rights or remedies, to such injunctive or equitable relief as may be deemed proper by a court of competent jurisdiction.

4.Miscellaneous.

(a)All Confidential Information is and shall remain the property of Disclosing Party. By disclosing Confidential Information to Receiving Party, Disclosing Party does not grant any express or implied right to Receiving Party to or under any patents, copyrights, trademarks, or trade secret information except as otherwise provided herein. Disclosing Party reserves without prejudice the ability to protect its rights under any such patents, copyrights, trademarks, or trade secrets except as otherwise provided herein.

(b)The parties agree to comply with all applicable international and national laws that apply to (i) any Confidential Information, or (ii) any product (or any part thereof), process or service that is the direct product of the Confidential Information, including the U.S. Export Administration Regulations, as well as end-user, end-use and destination restrictions issued by U.S. and other governments.

(c)This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. It shall not be modified except by a written agreement dated subsequent to the date of this Agreement and signed by both parties. None of the provisions of this Agreement shall be deemed to have been waived by any act or acquiescence on the part of Disclosing Party, the Receiving Party, their agents, or employees, but only by an instrument in writing signed by an authorized employee of Disclosing Party and the Receiving Party. No waiver of any provision of this Agreement

shall constitute a waiver of any other provision(s) or of the same provision on another occasion.

(d)If either the Disclosing Party or the Receiving Party employs attorneys to enforce any rights arising out of or relating to this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees. This Agreement shall be construed and controlled by the laws of the State of California, and the Disclosing Party and the Receiving Party further consent to exclusive jurisdiction by the state and federal courts sitting in Los Angeles County, California. Process may be served on the Disclosing Party and Receiving Party by U.S. Mail, postage prepaid,certified or registered, return receipt requested, or by such other method as is authorized by California law.

(e)This Agreement shall be binding upon and inure to the benefit of each party’s respective successors and lawful assigns; provided, however,

that neither party may assign this Agreement (whether by operation of law,sale of securities or assets, merger or otherwise), in whole or in part,without the prior written approval of the other party.

(f)If any provision of this Agreement shall be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

(g)Either party may terminate this Agreement with or without cause upon ninety (90) days prior written notice to the other party. All sections of this Agreement relating to the rights and obligations of the parties concerning Confidential Information disclosed during the term of the Agreement shall survive any such termination.

接受方依照本协议的条款;(三)成为比已知的来源披露方以外由一个欠披露方的保密义务的违反其他对接受方;或(iv)是自主研发由接收方。

2、机密信息方面的义务。

(一)接受方应:

(一)不披露五(5)年的任何披露方的机密资料,向第三方披露日期后第一次党的机密信息的披露等,除非明确接收方在第2款(b)和2(前提, c)本协议;

(二)采取合理的安全防范措施,至少与它采取的预防措施保护自己的机密资料不错,但不超过合理的谨慎,保守机密的泄露党的机密信息少;

(三)不披露,复制,总结和/或分发除非在接收方与披露方的业务关系按照党的机密信息的披露,仅作为本协议另有规定;及

(四)由切勿逆向工程,反编译或拆卸任何软件代码和/或预发布硬件披露披露方根据本协议的条款,接收方设备。

(二)接受方根据披露机密信息的披露方与司法或其他政府命令,只要接收方是(我)为签署披露方合理的书面通知之前,这种披露,允许披露方合理的机会寻求保护令或同等学历,或(ii)获得书面适用司法或政府实体的保证,它将承担保密的资料,根据适用法律或法规给予最高级别的保护。

(三)接受方签字披露机密信息可能只对接受方的雇员和顾问(包括法律,会计或其他专业顾问)就需要对知道的基础。签字人接受方应当将执行或执行适当的书面与员工,并足以使其能够遵守本协议的所有条款,例如顾问协议,并须对任何本由雇员和顾问的这种限制违反保密责任。

3、补救办法。

双方承认,货币赔偿不得为未经授权而披露机密信息披露充分的补救办法,缔约国应有权,不放弃任何其他权利或补救措施,这种禁止令或衡平法救济可能被视为由主管法院正确管辖权。

4杂项。

(一)所有的机密资料,并应披露方的财产。披露机密信息的接收方,披露方不接受方给予任何明示或暗示的权利或任何专利,版权,商标或商业秘密的信息,除非另有规定。披露方的能力,不损害任何此类专利保护其权利的储备,版权,商标,商业秘密或者另有规定的除外。

(二)双方同意遵守所有适用的国际和适用于(i)任何机密信息,或(ii)任何产品(或任何部分),过程或服务是直接的机密信息产品的国家法律,包括美国出口管理条例,以及最终用户,最终用途和由美国和其他各国政府发出目的地的限制。

(三)本协议构成就此事当事方之间的全部协议。它不得修改,除非以书面协议的日期晚于本协议日期,并由双方签署。本协议的任何条款,应视为已被任何行为或对披露方,接收方,其代理人或雇员的一部分默许网开一面,但只能通过仪器书面授权的披露雇员签署党和接收方。没有本协议的任何条文的豁免将构成对任何其他条文(第豁免)或在其他场合同样的规定。

(四)如果任何披露方或接收方雇用律师强制执行任何权利所引起的或与本协议,胜诉方有权收回合理的律师费。本协定不得解释和由加利福尼亚州法律的控制,披露方
